<br />Ma.r' 3.2000 9:16A\1 <br /> <br />No.96H P 2 <br /> <br />PURCHASE AGREEMENT <br /> <br />TInS AGREElv.lENT ("'Agreement") is made as of , 2000 between <br />Richard G. Hubers and Diane Lynn Hubers, husband and wife ("Seller"), and the City of <br />Centerville, a Minnesota municipal corporation ("Buyer"). <br /> <br />In consideration of this Agreement, Seller and Buyer agree as follows: <br /> <br />1. Sale ofPropertv. Seller agrees to sell to Buyer. and Buyer agrees to buy from <br />Seller, the following property (collectively, "Property"): <br /> <br />(a) Real Property. The real property located at 7087 Twentieth Avenue, City of <br />Centerville. County of Anoka, State of Minnesota, described on the attached <br />Exhibit A ("Land") together with (1) all buUdings and improvements constructed <br />or located. on the Land ("Buildings") and (2) all easements and tights benefiting or <br />appurtenant to the Land (collectively the "Real Property"). <br /> <br />(b) Personal Prqperty. All of the personal property situated in or about the Real <br />Property owned by Seller, including without limitation, that described on the <br />inventory attached to this Agreement as Exhibit B ('Personal PrOperty'I). <br /> <br />(c) Contracts. SeHer's interests in the service and maintenanc.e contracts, equipment <br />leases and other contracts regarding the Real Property and the Personal Property <br />described on the attached Exhibit C ("Contracts"). <br /> <br />(d) Permits. Seller's interests in the permits and licenses described on attached <br />Exhibit D ("Permits"). <br /> <br />(e) Warranties. Seller's interests in all warranties and guaranties given to, assigned. to <br />or benefitting Seller or the Real property or the Personal Property regarding the <br />acquisition, construction, design, use, operation, management or maintenance of <br />the Real Property and the Personal Property ("Warranties"). <br /> <br />(t) ~. All originals and copies of the as.:built blueprints, plans and specifications <br />regarding the Real Property and the Personal Property, if any ("Plans"). <br /> <br />(g) Records. AU records of Seller regarding the Real Property and the Personal <br />Property, including all records regarding real estate taxes and assessments, <br />insW'ao.ce~ maintenance, repairsl capital improvements and services ("Records"). <br /> <br />2. Purchase Price and Manner of Payment. The total purchase price ("Purchase <br />Price") to be paid by Buyer to Seller for the PI0perty shall be $375,000 and shall be payable as <br />follows: <br /> <br />"(a) $18,750 as eamest money ("Earnest Money") which Earnest Money shall be held <br />in ov.ner's attorney's trust account. <br />
