<br />in times of an emergency or otherwise with the maintenance, repair and operations of their <br /> <br />respective municipal water and sanitary sewer services. <br /> <br />2. Reimbursement of Costs. Should the employees of a Public Works <br /> <br />Department be called upon to assist another City, the City supplying the workers will. then send a <br /> <br />bill to the City- which received the assistance. Said bill will include all costs and expenses <br /> <br />incurred by the City which sent an employee to help another City. <br /> <br />3. Payment of Bill. The City who received help from another City will <br /> <br />promptly pay, within thirty (30) days, any bills or invoices received from another City for <br /> <br />services rendered under this Agreement. <br /> <br />4. Liabilitv. The receiving City agrees to indemnify, save and hold harmless <br /> <br />the sending City, its officers, agents and employees against any and all costs, damages and <br /> <br />claims whatsoever for damage or injury to any person or property arising from any negligent act <br /> <br />of the sending City's employee during the performance of this Agreement. <br /> <br />Nonetheless, any and all employees remain employed by the City by whom they <br /> <br />were hired and shall not be considered employees of any other City. Any and all claims that may <br /> <br />or might arise under the Workers Compensation Act of the State of Minnesota on behalf of said <br /> <br />employees shall remain the obligation of the City which regularly employs that employee. <br /> <br />IN WITNESS WHEREOF, the parties hereto have caused this Agreement to be <br />executed by their duly authorized representatives. <br /> <br />CITY OF CENTER VILLE <br /> <br />By <br /> <br />, Mayor <br /> <br />By <br /> <br />" <br /> <br />, Clerk <br />
