<br />to the Property which are in the possession of Seller or its agents, <br />and a traD&fer and assignment thereof; <br /> <br />(ill) Affidavits indicating that, on the Date of Closing, there are no <br />outsta11di118 unsatisfied judgments, tax liens or bankruptcies <br />against or involving Seller or the Property, that there has been no <br />skill, labor or material furnished to the Property at the request of <br />Seller for which payment has not been made or for which <br />mechaDics' liens could be filed, and that there are no other <br />unrecorded interests in the Property of any kind, together with <br />whatever standard owner's affidavit may be required by the title <br />insurance company insuring title; and <br /> <br />(iv) AU other dOCUlDeAts atfectins title to and/or possession of the <br />Property and necessary or convenient to transfer the same to <br />Purehaser under Mhmesota law or practice. <br /> <br />(b) Closing. Purchaser shall pay all costs associated with the closing of this <br />transaction, excepting such items as state deed taxes and filing and <br />recording fees that are customarily paid by the Seller. <br />7. TjtIe $ymninarlnn, IfPurcbaser bas any objection to title, Purchaser shall <br /> <br />provide written notice to Seller of said objection. Seller shall be allowed ~ days to <br /> <br />cure said objection. If any of the objections remain uncured after the _-day period, <br /> <br />then the Purchaser, in its discretion, may allow Seller up to an additional _ days to <br /> <br />cure objections deemed by the Purchaser to be curable. If title is not marketable and is <br /> <br />not made so within the time allowed for curing objections, Purchaser may: (i) take all <br /> <br />necessary action to cure title defects and reduce ally payment to be made to Seller by the <br />Purchaser's costs to cure the title defects, including attorneys' fees; or (ii) waive any <br /> <br />! . <br />, <br /> <br />rellWfting objections. All costs of the title insurance commitment and the premium on <br /> <br />the policy shall be paid by Purchaser. <br />
