<br />8. Real Estate Taxes And St>>ecial Assessments. General real estate taxes and <br /> <br />itlSta11~ for special assessments payable in the year in which Closing occurs shall be <br />paid by Seller as of the Date of Closing. Purchaser shall be responsible for the payment <br />of an real estate taxes and instaI1moIlts of special ~ due in all years following <br />the year in which the Date of Closing occurs. <br /> <br />9. <br /> <br /> <br />10. Agreements. Rqn-esentatiODS And Warranties by Seller. Seller agrees, <br /> <br />represents and wanuts as follows: <br /> <br />(a) The individuals executing this Agreement on behalf of Seller have the <br />requisite authority to execute this Agreement and such other documents as <br />are contemplated or to be delivered by Seller h~ and to bind Seller <br />thereto; and Sener bas the tWl and complete authority to sell the Property; <br /> <br />(b) Seller is not a foreign person, foreign partnership, foreign trust or foreign <br />estate as those terms are defined in Section 1445 of the Jntema1 Revenue <br />Code; <br /> <br />(c) There have been no bankruptcy or dissolution prOCP.Mings involving <br />SeDer during the time in which Seller bas had any interest in the Property; <br />there are no unsatisfied judgments or state or federal tax liens of record <br />9inst Seller; and no labor or materials have been furnished to the <br />Property for which payment has not been made; <br /> <br />(d) There are DO unrecorded IIlOltgapS, contracts, purchase agreements, <br />options, leases, easements or other agreements or interest reJstting to the <br />Property and there are no persons in possession of any portion of the <br />Property except as may be disclosed by the Title Evidence; <br /> <br />(e) To SeUer's actuallmowledge. there are no encroacbments or boundary <br />line questions affecting the Property, except as may be disclosed by the <br />Title Bvidence; <br />
