<br />(a) Seller's Closing Documents. On the Date of Closing, Seller shall execute <br /> and deliver to Buyer the following: <br /> (i) A warranty deed conveying fee title to the Property, free and clear <br /> of all liens, charges and encumbraIleeS; <br /> (ii) A wmanty bill of sale conveying the Personal Property, if any, to <br /> Buyer, :free and clear of aU liens, charges and encumbrances; <br /> (ill) Copies of all site plans, blueprints, plans, surveys, specifications, <br /> 111mlals, environmental studies, warranties and guaranties relating <br /> to the Property which are in the possession of Seller or its agents, <br /> and a transfer and assignment thereot; <br /> (iv) Affidavits indicating that, on the Date of Closing, there are no <br /> outstanding unsatisfied judgments, tax liens or banlauptcies <br /> against or involving Seller or the Property, that there has been no <br /> skill, labor or material furnished to the Property at the request of <br /> Seller for which payment has not been made or for which <br /> mechanics' liens could be tiled, and that there are no other <br /> unrecorded interests in the Property of any kind, together with <br /> whatever standard owner's affidavit may be required by the title <br /> insurance company insuring title; <br /> (v) All other documents affecting title to and/or possession of the <br /> Property and necessary or convenient to transfer the same to Buyer <br /> under Minnesota law or practice; <br /> (vi) Owner's duplicate certificates of title for any part of the Property <br /> that is registered property, and a currently certified abstract of title <br /> to any part of the Property that is unregistered property; <br /> (vii) A non-foreign affidavit, properly executed and in recordable form, <br /> containing such information as is required by Internal Revenue <br /> Code Section 144S(b)(2) and its regulations; <br /> (viii) A well certificate in the form required by Minnesota Statutes <br /> Section 1031.235. <br /> (ix) An affidavit with respect to storage tanks pursuant to Minnesota <br /> Statutes Section 116.48. <br />(b) Closing. Seller and Buyer shall each pay one-half of any amount <br /> associated with the closing of this transaction, excepting such items as <br /> state deed taxes and :6.ling and recording fees that are customarily paid by <br /> the Seller. <br /> <br />3 <br /> <br />If <br />
