<br />. . <br /> <br />respect to this Agreement or the Property, except as provided for in this Agreement. If no such <br /> <br />notice is given on the Date. of Closing, such contingency shall be deemed satisfied and this <br /> <br />transaction shall close in accordance with the terms:hereof. <br /> <br />4. Closing. The closing of the transaction contemplated by this Agreement shall <br /> <br />occur on or before November 1,2007 (the "Date of Closing"). The closing shalltake place in <br /> <br />the office of the title insurance company designated in Paragraph 6 at a time to be determined. <br /> <br />Seller agrees to deliver possession of the Property to Buyer on the Date of Closing. <br /> <br />(a) Seller's Closing Documents. On the Date of Closing, Seller shall execute and <br />deliver to Buyer the following: <br /> <br />(i) A warranty deed conveying fee title to the Property, free and clear of all <br />liens, charges and encumbrances; <br /> <br />(ii) A warranty bill of sale conveying the Personal Property, if any, to Buyer, <br />free and clear of all liens, charges and encumbrances; <br /> <br />(Hi) Copies of all site plans, blueprints, plans, surveys, specifications, manuals, <br />environmental studies, warranties and guaranties relating to the Property <br />which are in the possession of Seller or its agents, and a transfer and <br />assignment thereof; <br /> <br />(iv) Affidavits indicating that, on the Date of Closing, there are no outstanding <br />unsatisfied judgments, tax liens or bankruptcies against or involving Seller <br />or the Property, that there has been no skill, labor or material furnished to <br />the Property at the request of Seller for which paYment has not been made <br />or for which mechanics' liens could be filed, and that there are no other <br />unrecorded interests in the Property of any kind, together with whatever <br />standard owner's affidavit may be required by the title insurance company <br />insuring title; <br /> <br />(v) All other documents affecting title to and/or possession of the Property <br />and necessary or convenient to transfer the same to Buyer under <br />Minnesota law or practice; <br /> <br />(vi) Owner's duplicate certificates of title for any part of the Property that is <br />registered property, and a currently certified abstract of title to any part of <br />the Property that is unregistered property; <br />
