<br />(vii) A non-foreign affidavit, properly executed and in recordable form, <br />containing such information as is required by Internal Revenue Code <br />Section 1445(b )(2) and its regulations; <br /> <br />(viii) A well certificate in the form required by Minnesota Statutes Section <br />1031.235. <br /> <br />(ix) An affidavit with respect to storage tanks pursuant to Minnesota Statutes <br />Section 116.48. <br /> <br />(b) Closing. Seller and Buyer shall each pay one-half of any amount associated with <br />the closing of this transaction, excepting such items as state deed taxes and filing <br />and recording fees that are customarily paid by the Seller. <br /> <br />5. Survey. Seller shall provide to Buyer at Seller's expense a current "as-built" <br /> <br />survey of the Property, showing access, easements, buildings, improvements, parking areas, <br /> <br />encroachments, utility lines and all other information generally included in a survey of <br /> <br />commercial real property, together with the legal description of the Property, currently certified <br /> <br />to Buyer and to the title insurance company referred to in Paragraph 6 hereof. Buyer reserves the <br /> <br />right to make written objections to marketable title based upon said survey within 15 days after it <br /> <br />receives the title commitment described in Paragraph 6 below. Any such objections to title shall <br /> <br />have the same effect as objections to title raised by Buyer under Paragraph 6 hereof. <br /> <br />6. Title Examination. Within a reasonable time after acceptance of this Agreement, <br /> <br />Seller shall furnish Buyer with an Abstract of Title or a Registered Property Abstract certified to <br /> <br />date including proper searches covering bankruptcies and State and Federal judgments, liens, and <br /> <br />levied and pending special assessments. Buyer shall have 15 business days after receipt of the <br /> <br />abstract of title or registered property abstract, at Buyer's own expense, to make an application <br /> <br />for a title insurance policy and notify Seller of the application. Buyer shall have 15 business <br /> <br />days after receipt of the commitment for title insurance to provide Seller with a copy of the <br /> <br />commitment and written objections. Buyer shall be deemed to have waived any title objections <br />
