<br />2.6 Boulldaries: The area within the corporate limits of the cities which are parties to this <br />J OiIlt Powers AgreeInent, as adjusted in the future, whether by annexation or otllerwise. <br /> <br />2.7 Operations Comn1ittee: Means a committee, made up of the adnlinistrators froln each <br />Member City and the Police Cllief as an Ex-Officio member, that meets for the purpose of <br />providing day to day oversight and coordination of the Police Depaliment operation, supervision <br />and support of the Police Chief, and advice and counsel to the Governing Board <br /> <br />SECTION III <br />ORGANIZATION <br /> <br />3.1 Establishment. There is hereby establisIled the "Department" to be Inanaged tIrrough a three <br />(3) tier systeIn. The manageIneIlt tiers will be as follows: A Govenling Board, Operations <br />Conln1ittee and a Chief of Police. <br /> <br />TIle Chief of Police is an appoillted position. Appointment aIld contract require tIle <br />approval of all nlenlber cities. III the event that the menlber cities are unable to agree on a person <br />to fill tIle position of CIlief of Police, tIle Govenlillg Board by majority vote sIlall appoillt an <br />acting CIlief of Police. Specific personnel issues for the Chief of Police will be covered by tIle <br />cOlltract aIld/or Rules alld Regulations Policies - Joint Powers Police Departnlellt, adopted by tIle <br />Govemillg Board. <br /> <br />3.2 The Board nleeting will rotate betweeIl tIle meInber cities or all agreed upon <br />locatioll. <br /> <br />3.3 Ouomln. Four (4) of six (6) regular Govenling Board Inelllbers durillg special or quaIierly <br />lneetings sllall constitute a quorull1, provided that at least one (1) Govenling Board melnber shall <br />be present from eacll city. III tIle eveIlt of fillallcial default, tIle quorunl will be reduced to three <br />(3) Govelllillg Board lllenlbers preseIlt, with at least one (1) frolll each city 110t in default. <br />Goverlling Board 111e11lbers frOlll cities ill default sIlall not count toward a quoru1n. <br /> <br />3.4 V oti11g. Each Governing Board lllelllber present at the llleetillg shall be entitled to Olle (1) <br />vote. Unless otherwise provided ill tIlis agreenlent, the Govelning Board lllay take action 011 allY <br />isslle by a lnajority vote of those l1lel1lbers presellt and elltitled to vote at a duly called meetillg, <br />subject to tIle quomlll requirelllent of Section 3.3. <br /> <br />Tllere shall be no vOtillg by proxy. Votes nlust be cast at a Govelnillg Board nleetillg by a <br />Govell1ing Board l1le1nber. Govelning Board me111bers from cities ill finallcial default are not <br />eligible to vote. <br /> <br />3.5 The parties agree that there shall be establislled a Govenlillg Board consisting of six (6) <br />members to be selected as follows: <br /> <br />a) Two elected officials to be appointed by each City Council of each menlber city, <br />according to the procedure which each Council shall determine. <br /> <br />- 2 - <br />
