Council approval shall be required for expenditures in excess <br />of $750, the purchase of property, the sale of property, the EDA to inenr debt, awarding of financial assistance over <br />$10,000. <br /> <br />ARTICLE IV <br />PROCEDURES OF THE BOARD <br /> <br />Section 4.01. Annnal Meeting. The annnal meeting of the Board sbaI1 be held in the month of January in each year. <br />An annual report will be submitted to the EDA for approval and presented to the City Council at a regnlarly <br />schedn1ed meeting, <br /> <br />Section 4.02. Regnlar Meetings. The Commission may hold its meetings in such a place or places within the State <br />of Minnesota as it may from time to time determine. The Commission shall hold regular m~gs, at a time and <br />place to be set by the Commission, The meetings sbaI1 conduct the business of the EDA The EDA is a public body, <br />and notice of such meeting shall be given in such a manner as is required by law. <br /> <br />Section 4.03. Special Meetings. Special meetings shall be held on call by the President, Executive Director or City <br />Administrator. Notice of such meeting shall be made by the Executive Director cr the S<;cretary by mail, personal <br />delivery, or telephone notice to each Commissioner in accordaoce with the laws governing notices of special meetings <br />for public bodies, Each such notice shall state the pUIpOse, time, and place of the meeting, <br /> <br />Section 4.04. Quorum. Except as otherwise provided by the Act, the Resolution, or these By-Laws, a majority of <br />the total number of Ccmmissioners shall be required to constitute a quorum for the transaction of business at any <br />meeting. The act of a majority of the Commissioners present at such meeting shall be the act of the Commission, <br />Notice of any l!lljOlimed meeting due to absence of a quorum need not be given other than as is required by law for a <br />public Ixxty. <br /> <br />Section 4.05. Proxies. Proxies shall not be allowed or used. <br /> <br />Section 4,(16. Rules of Order. All meetings sbaI1 be governed by the most recent edition of the Roberts Rules of <br />Order as revised from time to time. <br /> <br />ARTICLE V <br />AMENDMENTS AND CONFLICTS <br /> <br />Section 5.01. Amendments. The Commission may amend these By-Laws, as from time to time amended or <br />restated, to include or omit any provision which could lawfully be included or omitted at the time such amendment or <br />restatement is adopted, Any number of amendments, or an entire revision or restatement of the By-Laws shall be <br />submitted and voted upon at a single meeting of the Commission and be adopted at such a meeting, a quorum being <br />present, upon receiving the affinnative vote of not less than two-thirds of the total number of Directors of the EDA. <br />A majority vote of the Council shall be required in order for any amendments to these By-Laws to be considered in <br />effect. <br /> <br />Section 5.02. Conflicts.
