- -- Exhibit A - -- <br /> Mn/DOT Agreement Number 95753 <br /> Agreement Between <br /> City of Centerville <br /> And <br /> Minnesota Department of Transportation <br /> For <br /> Shared Salt Supplies <br /> In consideration of the mutual undertakings and agreements hereinafter set forth, the City of Centerville a <br /> political subdivision of the State of Minnesota ( "City") and the State of Minnesota, acting through its <br /> Commissioner of Transportation, ( "State ") agree as follows:. <br /> 1. TERM OF AGREEMENT <br /> This agreement shall commence upon execution of this agreement by both parties, including all <br /> State of Minnesota officials as required by Minnesota Statutes §16C,05. This Agreement will <br /> terminate on June 30, 2015. This agreement may be terminated with or without cause by either <br /> party upon thirty days' written notice to the other party. <br /> 2. LOCATION <br /> The State will provide access to the City at the Forest Lake Truck Station <br /> located at 22010 Everton Avenue North, (Phone number 651- 297 - 4437), as further set forth in this <br /> Agreement. <br /> 3. RESPONSIBILITIES OF THE PARTIES <br /> A, The State will: <br /> 1. Provide storage space, at the location identified in Article 2, for up to 50 tons of salt <br /> purchased by the City. <br /> 2. Provide a loader for the City's use to load City trucks with salt. <br /> B. The City will: <br /> 1. Annually provide the State a quantity of salt to compensate the State for <br /> administration and handling related to the City's salt (and in lieu of the City making <br /> a cash payment for such administration and handling). The City will order 10% <br /> above their original order of salt and this excess 10% will be turned over to the State <br /> and will become property of the State. The City will provide the State with a copy <br /> of the invoice showing the quantity of salt delivered. <br /> 2. Take reasonable safety, security and environmental protection measures at the site <br /> and comply with State's regulations for same. <br /> 3. Maintain a small stock pile on City property for use when the State is not on duty. <br /> 4. Limit access to the Forest Lake Truck Station to times when State personnel are <br /> available, unless other arrangements are made with the State. If the State in not <br /> actively working on any particular day, the gate to the truck station salt stock piles <br /> will be locked and no product will be available to the City. The City may call ahead <br /> to make arrangements for product, however, the City will be responsible for any <br /> over time charges incurred by the State related to the loading of City vehicles. <br /> C. The parties agree to confer at least monthly to verify salt usage, reconcile quantities and <br /> estimate future needs. <br /> 4. AUTHORIZED REPRESENTATIVES <br /> A. The State's Authorized Representative for purpose of administering this Agreement is, Mark <br /> Fischbach, Mn/DOT Metro District, Maintenance Superintendent -South Region, (651- 234 - 7907), <br /> 1500 W.
