• <br /> 5. Insurance. The Leagues must obtain a policy of liability insurance covering its operation of the <br /> program and the concessions (if applicable), with limits of $1,000,000 per occurrence and <br /> aggregate. The policy must name the City as an additional insured. Upon the City's request, <br /> the Leagues must provide a certificate of insurance verifying the existence of this insurance <br /> and providing 30 days notice to the City before cancellation, expiration, or change of coverage. <br /> 6. Assignment. The Leagues may not assign or delegate its rights and obligations under this <br /> agreement to any other party without prior written approval from the City, which may be <br /> denied in the City's sole discretion. <br /> 7. Independent Contractor Status. For all purposes, the Leagues will be regarded as an <br /> independent contractor, not under the direction and control of the City. In addition, for all <br /> purposes, the program will be regarded as the Leagues' program and not a program of the City. <br /> 8. Terms of Agreement. This agreement will continue in effect indefinitely on an annual basis for <br /> a minimum of ten years.
