• <br /> PURCHASE AGREEMENT <br /> THIS AGREEMENT is made as of May �, 1999, between Willie Lessard <br /> (marital status) ( "Seller "), and City of Centerville, a municipal <br /> corporation ( "Buyer "). <br /> In consideration of this Agreement, Seder and Buyer agree as follows: <br /> 1. Sale o£ Property. Seller agrees to sell to Buyer, and Buyer agrees to bug from <br /> Scher, the following property (collectively, "Property "): <br /> (a) Real Property. The real property located in Anoka County, Minnesota. described <br /> on the attached Exhibit A ('Land ") together with i(1) all buildings and <br /> improvements constructed or located on the Land ( "Buildings ") and (2)) all <br /> easements and rights benefiting or appurtenant to the Land (collectively the "Real <br /> Property "), <br /> (b) Personal Property. All of the personal property situated in or about the Real <br /> Prcperty owned by Seller, including without limitation, that described on the <br /> inventory attached to this Agreement as Exhibit B ( "Personal Property "). <br /> (c) Leases. Seller's interests as lessor in all of the leases as described on the rent roll <br /> attached to this Agreement as Exhibit C ( "Leases "). <br /> (d) Contract. Seller's interests in the service and maintenance contracts, equipment <br /> leases and other contracts regarding the Real Proper and the Personal Property <br /> described on the attached Exhibit D ( "Contracts "). <br /> (e) Warranties. Seller's interests in all warranties and guaranties given to, assigned to <br /> or benefiting Seller or the Real property of the Personal Property regarding the <br /> acquisition, construction, design, use, operation, management or maintenance of <br /> the Real Property and the Personal Property ( "Warranties "), <br /> (£) Plans, All originals and copies of the as-built blueprints, plans and specifications <br /> regarding the Real Property and the Personal Property, if any ( "Plans "). <br /> (g) $&s. All records of Seller regarding the Real Properly and the Personal <br /> Property, including all records regarding management and leasing, real estate <br /> taxes and assessments, insurance, tenants, maintenance, repairs, capital <br /> improvements and services, but excluding tax returns and such other records as <br /> are normally viewed as confidential, provided that such other records are not <br /> necessary, in Buyer's reasonable judgment, to the continued operation, <br /> management and leasing of the Real Property and the Personal Property <br /> ( "Records "). <br /> • <br />
