2. Purchase Price and Manner of Payment The total purchase price ( "Purchase <br /> • Price") to be paid by Buyer to Seller for the Property shall be Three Hundred Twenty-Five <br /> Thousand and Noi 100 Dollars ($325,000.00) and shall be payable as follows: <br /> (a) ;5,000.00 as eanest money, the deposit of which i: hereby acknowledged. <br /> (b) S320,000.00 in cat or by wire transfer of U.S. Federal Funs to be paid en the <br /> Closing Date. <br /> Contingencies. The obligations of Buyer, trader t: ".is Agreement are contingent <br /> upon each of the following: <br /> (a) Represeutatiops jgd Warranties. The representations and warranties of Seller <br /> contained in this Agreement must be true now and on. the Closing Date as if made <br /> on the Closing Date and Seller shall hew delivered to Buyer at, closing a <br /> certificate dated the Closing Date, signed by an authorized representative of <br /> Seller, certifyir:.g that such representations and warranties are true as of the <br /> Closing Date (the "Bring -down Certificate"). <br /> (b) Mlle. Title shah have been found acceptable, or been made acceptable in <br /> accordance with the requirements and terms of Section 6 below. <br /> (0) ferfortnaace of Seller's Ob1ieations. Seller shall have performed all of the <br /> obligations required to be performed by Seiler under this Agreement.,. as and when <br /> required by this Agreement Included within the obligations of Seller under this <br /> Agreement shall be the following: <br /> (0 Seller shall allow Buyer, and Buyer's agents, access to the Rea' <br /> property without charge and at all reasonable times for the purpose of <br /> Buyer's investigation and testing the same. Buyer shall pay all costs <br /> and expenses of such investigation and testing and shall hold Seiler and <br /> the Real Property hartnless from all costs and liabilities relating to the <br /> Buyer's activities. Buyer shall further repair and restore any damage to <br /> the Real Property caused by or occurring during Buyer's testing and <br /> return the Real Property and/or Personal Property to substantially the <br /> same condition as existed prior to such entry. <br /> (ii) Seller shall, at its cost and expense, cause the Real Property to be <br /> surveyed by a Registered Land Surveyor properly licensed to practice <br /> in the State of lelinnesota and reasonably acceptable to Buyer. The <br /> survey shall be prepared in accordance with the requirements of Exhibit <br /> E and shall be delivered to Buyer one month before the Closing Date. <br /> (iii) Cho or before June 3, 1949, Seiler shall deliver to Buyer true and comet <br /> copies of all Leases, Contracts, Permits, Warranties, Plans. Records and <br /> Pertained Encumbrances for Buyer's review end analysis. <br /> 2 • <br />
