(3) Assignment of Leases. An Assignment of Leases, in form reasonably satisfactory <br /> to Buyer, conveying with warranties the Leases and any security deposits, prepaid <br /> rents or collections and guarantees regarding the Leases to Buyer. free and clear <br /> of all encumbrances. <br /> (4) Assignment of Contracts. An Assignment of Contracts, in form reasonably <br /> satisfactory to Buyer, conveying with warranties the Contracts to Buyer, free and <br /> clear of all encumbrances, together with the consent of all parties having a right to <br /> consent to such Assignment. <br /> (5) Assignment of Permits. An Assignment of Permits, in form reasonably <br /> satisfactory to Buyer, conveying with warranties the Permits to Buyer, free and <br /> clear of all encumbrances, together with the consent of all parties having a right to <br /> consent to such Assignment. <br /> (6) Assienntent of Warranties. An Assignment of Warranties, in form reasonably <br /> satisfactory to Buyer, conveying with warranties the Warranties to Buyer, free <br /> and clear of' all encumbrances, together with the consent of all parties having a <br /> right to consent to such Assignment. <br /> (7) Revised Rent Roll. A revised rent roll, in the form of attached Exhibit C, accurate <br /> as of the Closing Date; <br /> (8) Notices to Tenants. Notices to the tenants under the Leases, in form reasonably <br /> satisfactory to Buyer, advising them of the sale of the Property and directing them <br /> to make future lease payments to Buyer at the place designated by Buyer. <br /> (9) Title Policy. The Title Policy, or a suitably marked up Commitment for Title <br /> Insurance initiated by Title, in the form required by this Agreement. <br /> (10) Brinu- dowaCertificate. The Bring -down Certificate. <br /> (11) Seller's Afijdavit. An Affidavit of' Titie by Seller indicating that on the Closing <br /> Date there are no outstanding, unsatisfied judgments, tax liens or bankruptcies <br /> against or involving Seller or the Real Property; that there has been no skill, labor <br /> or material furnished to the Real Property for which payment has not been made <br /> or for which mechanics' liens could be filed; and that there are no other <br /> unrecorded interests in the Real Property, together with whatever standard <br /> owner's affidavit andior indemnity (ALTA Form) which may be required by Title <br /> to issue an Owners Policy of' Title Insurance with the standard exceptions waived. <br /> (12) Security Deposits and Prepaid Rents. All security deposits and prepaid rents <br /> under the Leases, including valid transfers of any noncash securities or documents <br /> held for such purposes. <br /> 4 <br />
