Sale of Property. Seller es to sell to Buyer, <br /> p afire and Buyer agrees to buy from <br /> Seller, the following property (collectively, "Property "): <br /> (a) Real Finnerty. The real property located at 7087 Twentieth Avenue, City of <br /> Centenille, County of Anoka, State of Minnesota, described on the attached <br /> Exhibit A ("Land ") together with (1) all buildings and improvements constructed <br /> or located on the Land ( "Buildings ") and (2) all easements and rights benefiting or <br /> appurtenant to the Land (collectively the "Real Property "). <br /> (b) Personal Property. All of the personal property situated in or about the Real <br /> Property owned by Seller, including without limitation, that described on the <br /> inventory attached to this Agreement as Exhibit B ("Personal Property "). <br /> (c) Contracts. Seller's interests in the service and maintenance contracts, equipment <br /> leases and other contracts regarding the heal Property and the Personal Property <br /> p described on the attached Exhibit C ( "Contracts "), <br /> J(r` (d) Permits. Seller's interests in the permits and licenses described on attached <br /> Exhibit 1) ("Permits "), <br /> (e) Warranties. Seller's interests in all warranties and guaranties given to, assigned to <br /> or benefiting Seller or the Real property of the Personal Property regarding the <br /> acquisition, construction, design, use, operation, management or maintenance of <br /> the Real Property and the Personal Property (" Warranties"). <br /> (f) Plans. All originals and copies of the as -built blueprints, plans and specifications <br /> regarding the Real Property and the Personal Property, if any ( "Plans "). <br /> (g) Emicla. All records of Seller regarding the Real Property' and the Personal <br /> Property, including all records regarding real estate taxes and assessments, <br /> insurance, maintenance, repairs, capital improvements and services ("Records"). <br /> 2. purchase Price and Manner of Payment.
