Professional Services Agreement <br /># Bonestroo <br />THIS IS AN AGREEMENT, effective on , between the City of Centerville, <br />MN ("City'I and Bonestroo, Inc., a Minnesota corporation ("Consuitant'l, for engineering and other <br />professional technical services. City and Consultant agree as follows. <br />SECTION 1. CONSULTANT'S SERVICES <br />1.1 General <br />The City intends to engage the Consultant from time to time to provide engineering and such other <br />professional technical services as planning, surveying, landscape architecture, architecture, and <br />professional services in the environmental sciences. Each engagement of the Consultant by the City <br />or each construction project shall be referred to as a "Project." The City reserves the right to retain <br />others to perform engineering and other professional technical services for the City. <br />1.2 Basic Services for Construction Projects <br />For construction projects, the Consultant will provide the "Basic Services" described in Appendix A. <br />Basic Services for construction projects consist of three phases: <br />1) Feasibility Study /Report Phase <br />2) Design Engineering Phase <br />3) Construction Engineering Phase <br />1.3 Supplemental Services <br />If authorized by the City, the Consultant will furnish "Supplemental Services" (defined as services <br />not included in Basic Services), examples of which are identified in Appendix B. <br />1.4 Other Investioations. Studies and Reports <br />The City may direct the Consultant to provide services not related to a construction project <br />("Special Studies'J. Although not a complete list, examples of Special Studies include: traffic <br />studies; transportation studies; feasibility or conceptual investigations, studies and reports; sanitary <br />sewer, water, and stormwater system master plans; comprehensive planning; market research; <br />environmental assessments, worksheets or impact statements; and rate studies. For Special <br />Studies, the Consultant will provide the City with a written scope of Basic Services and an estimate <br />of the costs, and will not begin work until authorized by the City. <br />SECTION 2. THE CITY'S RESPONSIBILITIES <br />The City is responsible for all matters described in Appendix C. <br />SECTION 3. COMPENSATION <br />3.1 General <br />For services rendered, the City will pay the Consultant on an hourly basis in accordance with <br />the Billing Rate Schedule in Appendix D, plus Reimbursable Expenses. The Engineer's <br />compensation will be based on the Project's scope of services and not -to- exceed cost estimate <br />furnished to the City by the Consultant prior to initiating work on the Project. Billings shall <br />include the breakdown of hourly work by date for each staff member together with a breakdown <br />for each project showing approved fees, billed to date, and approved budget remaining. <br />3.1.1 If, during the course of a Project, the scope of the Project changes, or the City authorizes a <br />change to increase or decrease the scope of the Engineer's services, the City will negotiate a <br />corresponding increase or decrease in the Engineer's compensation. <br />Centerville City Engineer Master Agreement <br />23 <br />
