NEW BUSINESS - B <br />III. AGREEMENT TO WORK WITH RAMSEY COUNTY SHERIFF'S <br />DEPARTMENT; FUTURE TENANTS <br />Both the TOWNSHIP and the CITY agree to work with the Ramsey County <br />Sheriff's Department regarding the use of Heritage Hall as a police substation for <br />the benefit of both parties. Should the Sheriff's Department cease their tenancy in <br />Heritage Hall, the partiesshall consult andact ingood faith to jointly locate and <br />reach agreement with a suitable replacement tenant or useby one of the parties. <br />Revenue or budgetary credits from useagreements with the Sheriff's Department <br />shall accrue to the CITY. <br />IV. TERM OF AGREEMENT; ARBITRATION <br />This Agreement shall .remain in full force and effect indefinitely following adoption. <br />This Agreement may be terminated by mutual agreement without cost. If there is <br />no other agreement between the parties at termination, the CITY shall purchase the <br />lot on which Heritage Hall sits from the. TOWNSHIP at an appraised fair market. <br />price. Any dispute about the market value of the lot shall be determined by an <br />arbitrator selected by the parties. If one party alleges lack of performance by the <br />other party, both parties agree that the issue will be settled through binding. <br />arbitration. <br />V. NOTICES <br />Any and all notices and demands by or from the TOWNSHIP, or by or from the <br />CITY, shall be in writing and shall be validly given or made if served either <br />personally or if deposited in the United States mail, certified or registered, postage <br />prepaid, return receipt requested. If such notice be served personally, service shall <br />be conclusively deemed made at the time of such personal service. If such notice or <br />demand be served by registered mail or certified mail in the manner herein provided, <br />service shall be conclusively deemed made forty-eight (48) hours after the deposit <br />thereof in the United States mail addressed to the party to whom such notice is to be <br />given. <br />16 <br />
