3. Tokle shall provide the City with Certificates of Insurance <br />evidencing that the required insurance is in effect and. will <br />continue in effect during the term of this Agreement, <br />4. Electrical inspectoes errors and omissions and general liability <br />insurance policies with limits of $1,000,000 each negligent act, error <br />or omission and $2,000,000 aggregate. <br />LICENSING... Tokle shall provide the City with evidence that all employees of Tokle <br />who provide electrical inspection service to the City of Gem Lake have a Class "A" <br />Journeyman's. License as required by Minn. 5tat. Chapter.326 and Minnesota Rules <br />Chapter'3800 or a. Master's License. <br />INDEMNIFICATION. Tokle shall indemnify, hold harmless arid. defend. the City, its <br />officers :and employees against. any and all liability; loss, costs; damages,. expenses; <br />claims and actions, including attorneys fees: which the City, its officers or employees <br />may herein after. sustain, incur or be required to pay arising out of or by reason of any <br />negligent of willact or adequately perform the Contractor's. obligations pursuant to this <br />Contract. <br />ASSIGNMENT. This Agreement, being intended to secure the services of a Certified: <br />Electrical Inspector, shall not be assigned, sublet, or transferredwithout the written <br />consent of the City. <br />CONFLICT OF INTEREST Tokle agrees to immediately advise the City .Clerk of <br />Possible contractual conflicts of interest in representing the City as well as property <br />owners or developers on the. sameproject.
