JOINT SERVICES AGREEMENT BETWEEN THE TOWN OF WHITE BEAR <br />AND THE CITY OF GEM LAKE <br />Page 4 of 6 <br />V. TERM AND TERMINATION. <br />A. Initial Term. This Agreement shall become effective on the date that it has <br />been approved and executed by the governing bodies of both the City and the <br />Town. From its effective date, this Agreement shall be in effect for calendar year <br />2007, or until the date on which the City makes its appointments for calendar year <br />2008, whichever event occurs later. <br />B. Renewal. By December 1, 2007, or any later year in which this Agreement is <br />in effect, the Town shall determine whether it is capable and willing to provide <br />services on behalf of the City in calendar year 2008 (or following years). If the <br />Town, through its Clerk -Treasurer or other designated representative, states that it <br />is willing to provide services for a following year, the City may renew this <br />Agreement by re -appointing the Town as provider of services on behalf of the <br />City, as stated in Section III, in its annual resolution appointing officers of the <br />City. <br />C. Termination. <br />1. The Town may terminate this Agreement, in full or in part, prior to its <br />expiration by giving the City written notice of its desire to terminate at <br />least ninety (90) days in advance of the desired termination date. <br />2. The City may terminate this Agreement, in full or in part, prior to its <br />expiration by giving the Town written notice of its desire to terminate at <br />least thirty (30) days in advance of the desired termination date. <br />3. Upon termination of services involving the City's financial accounts or <br />collection of money for the City, whether prior to or at expiration of the <br />contract, there shall be an audit of the City's accounts. The cost of the <br />audit shall be borne by: a) the terminating party if termination occurs prior <br />to expiration of the Agreement; b) the Town, should the Agreement expire <br />after the Town informs the City that it is not willing to offer services in a <br />following year; or c) the City, should the City make an alternate <br />appointment after being informed that the Town remains willing to <br />provide services under this Agreement. <br />VI. COMPENSATION TO TOWN. <br />The City shall compensate the Town, on a "pay-as-you-go" basis, for the Town <br />resources committed to providing services on behalf of the City. The hourly rates <br />for Town staff time and charges for use of equipment are stated on Appendix A. <br />Costs for use of equipment and supplies will be passed on to the City for <br />reimbursement. The Town shall submit an invoice to the City each month, stating <br />the time spent by its staff and other costs of providing services on behalf of the <br />J City. <br />
