Proposal to Gem Lake, MN for General Legal Services <br />July 17, 2006 <br />Compensation Proposal <br />The legal needs of a city vary from year to year. Kelly & Fawcett proposes monthly <br />billing for hourly fees, giving the City of Gem Lake flexibility to get service when it <br />needs it, and not pay when it doesn't. This arrangement would cover all matters within <br />the Scope of Work for General Legal Services, including: <br />• Meet with the City Council, City Clerk, Department Heads and City Staff as <br />needed to review Council agenda items, the status of all legal matters before the City; <br />1-1 <br />• Provide legal briefings as requested to City Council and Staff regarding new or <br />proposed legislation affecting municipal operations and activities; <br />Provide written updates on new State or Federal legislation or judicial decisions <br />impacting the City and suggested action or changes in operations or procedures to <br />assure compliance; <br />• Provide advice on open meeting law, data practices, records retention and privacy <br />issues; <br />• Litigate cases on behalf of the City; <br />• Interpret and advise regarding development proposals, Economic Development <br />issues, State land use statutes and City Code requirements; <br />Interpret and advise regarding laws relating to comprehensive plans and <br />Metropolitan Council approvals; and <br />Interpret and advise regarding impact fees and legal uses. <br />We propose to use our standard hourly fees, described on the attached fee schedule, for <br />legal work done on behalf of City applicants, such as real estate developers, that will be <br />"passed through" to the applicant. For all work that is paid by the City itself, we propose <br />the following hourly fee schedule, to be in effect for the duration of our contract: <br />Attorneys, litigation services: <br />Attorneys, all other services: <br />Law clerks, all: <br />Council Meetings/Public meetings <br />$160.00 per hour <br />$140.00 per hour <br />$ 60.00 per hour <br />$ 250.00 flat rate if over 1 hour. <br />Kelly & Fawcett normally bills the time of its professional staff in quarter-hour <br />increments. We remain flexible and will be happy to negotiate our compensation in <br />forming a contract. <br />Page 11 of 13 <br />
