1. SERVICES. <br /> A. The Cities of Roseville and Arden Hills shall each be authorized to provide the <br /> other with qualified personnel and equipment as requested by either city or as required in <br /> identified initiatives for collaborative activities. Each City shall be solely responsible for <br /> compensating its own assigned Employee(s) or agents engaged in providing services under this <br /> Agreement, including any overtime wages incurred, as well as any insurance or employee <br /> benefits provided under the policies or agreements of the City of Roseville or the City of Arden <br /> Hills. In addition, each City shall be solely responsible for worker's compensation, <br /> reemployment insurance benefits, and other employee related laws, including OSHA, ERISA. <br /> RLSA, and FMLA of its own employees, Each City shall retain the authority to control its own <br /> employees, including the right to hire, fire and discipline them. <br /> B. The City Manager of Roseville and the City Administrator of Arden Hills, or their <br /> designees shall be <br /> responsible for developing and coordinating the collaborative initiatives authorized by this <br /> Agreement and shall report to the respective City Councils every six months on activities <br /> undertaken pursuant thereto. <br /> 2. PAYMENT. As part of the semi-annual report, the Manager and Administrator <br /> shall address the <br /> need for payment, if any, that may be necessary to ensure to the extent practicable that both <br /> Cities receive roughly equivalent financial benefits from the cooperative or collaborative <br /> ventures, and that neither City is economically disadvantaged in to any appreciable degree by <br /> any of the cooperative or collaborative activities. <br /> 3. INDEMNIFICATION. Each City agrees to assume sole liability for any <br /> negligent or intentional acts of the assigned Employee(s) while performing the assigned duties <br /> 85743 2 <br />
