Draft 8/24/2000 GROUND LEASE, DEVELOPMENT AND USE AGREEMENT THIS AGREEMENT ("Agreement") dated , 2000, is by and between the CITY OF ROSEVILLE, a Minnesota municipal corporation ("Lessor" or "City"), and WILDLIFE REHABILITATION CENTER OF MINNESOTA, a Minnesota non-profit corporation ("Tenant"). RECITALS Lessor is the owner in fee simple of certain real property which is legally described on EXHIBIT A attached hereto and made a part hereof(the "Property"). Tenant desires to lease the Property from Lessor for the purpose of constructing a new multi-million dollar clinic facility to better protect and assist wildlife; specifically, the birds and animals of the region where the Property is located ("Region"). This facility will be a leading wildlife rehabilitation facility in the state of Minnesota. Lessor, also passionate about the care of wildlife in the Region, desires convenient access to wildlife care and educational services. The Statement of Policy attached hereto as Exhibit B verbalizes the collaborative intent of the parties in entering into and performing under this Agreement. The Statement of Policy shall not be construed as amending or modifying this Agreement, but may be used as a guide for interpretation. NOW, THEREFORE, in consideration of the sum of One Dollar ($1.00) and other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the parties hereby agree as follows: 1. COLLABORATION ON PROGRAM DEVELOPMENT. To further develop and maintain the partnership between the parties during the Term and Renewal Term (as these terms are hereinafter defined) of this Agreement: (i)the parties will participate in an annual joint strategic planning retreat to review programming and identify opportunities for mutual support; (ii) Lessor may appoint one member of its staff or interested City Resident to serve as a Director
