Any modifications, variations, or waivers of the terms of this contract, and <br />any change in the amount thereof as. set forth on page. 1, above, stall <br />become effective only upon being reduced to a written amendment <br />hereunto, signed by the authorized representatives of the .UNIVERSITY and <br />of the SPONSOR. <br />ARTICLE 'VI - Termination <br />A. Either the UNIVERSITY or the SPONSOR may terminate this <br />contract by notifying the authorized representative of the other <br />thirty (30) days in advance of a spe;�ified termination date. <br />B. Upon receiving a termination nonce from the SPONSOR, the <br />UTIIVERSITY shall exercise reasonable diligence to' cancel <br />orders, obligations, and commitments relating to this contract, <br />and to cancel or redirect commitments for personal services. <br />C The SPONSOR shall remain liable for all casts incurred by the <br />UNIVERSITY pursuant to this contract, including uncancelable <br />orders, obligations, and commitments, made prior to receiving a. <br />termination notice. Upon payment of all such costs, the <br />Principal Investigator shall deliver to the authorized <br />representative of the SPONSOR'such incomplete Subject Data, in <br />its extant format, as ARTICLE XI, below, requires. <br />ARTICLE VII- Records and Inspection <br />A. The UNIVERSITY shalt maintain books, records, and other <br />evidence , of costs incurred and revenues received under, this <br />contract, to document fully all net costs, direct and indirect, of <br />labor, materials, equipment, supplies, and services, and all <br />other costs of whatever nature. <br />Be At all reasonable times during the retention period, Paragraph <br />C, below, the SPONSOR, or any authorized audit. representative, <br />shall have access to such pertinent UNIVERSITY books, records, <br />and other evidence, to audit and examine them. <br />C The UNIVERSITY shall preserve all such books, records, and <br />other evidence pertaining to this contract for three (3) years <br />after the contract period. <br />f, <br />
