Attachment A <br /> 47 4. Insurance. The consultant shall secure and maintain the following <br /> 48 minimum insurance: <br /> 49 <br /> 50 a. Worker's compensation insurance as required by Minnesota law; <br /> 51 b. General and Professional Liability Insurance in the amount of at least <br /> 52 $500,000 each negligent act, error or omission and $1,000,000 <br /> 53 aggregate each insured; <br /> 54 c. The insured's policy shall not be cancelled until after 30 days written <br /> 55 notice to the City of the insured's intention to cancel this insurance. <br /> 56 <br /> 57 The consultant shall deposit with the City certificates evidencing that the <br /> 58 above insurance is in effect and maintained. <br /> 59 <br /> 60 5. Indemnification. The parties shall indemnify and hold harmless each <br /> 61 other and their officials, agents and employees from any loss, claim, <br /> 62 liability and expense (including reasonable attorney's fees and expenses of <br /> 63 litigation) arising out of any action of the respective parties in the <br /> 64 performance of the service of this contract. <br /> 65 <br /> 66 6. Assignment. This agreement, being intended to secure licensed electrical <br /> 67 inspection services from employees of the consultant, shall not be <br /> 68 assigned, sublet or transferred without the written consent of the City. <br /> 69 <br /> 70 7. Additional Work or Studies. The City Community Development Director <br /> 71 may request additional service (not to exceed $1,000) at the same <br /> 72 compensation rate shown in the Electrical Permit Fee schedule. <br /> 73 <br /> 74 Work on services or reviews (not to exceed $1,000) not related to projects <br /> 75 mentioned in Article 1 may also be requested by the Community <br /> 76 Development Director at the same compensation rate, provided the cost of <br /> 77 such review is covered by project application fees or is itemized in the <br /> 78 City Community Development Department approved budget. <br /> 79 <br /> 80 Additional work on services or reviews, which exceed $1,000, must be <br /> 81 submitted to the City Manager for approval prior to commencement of <br /> 82 work. <br /> 83 <br /> 84 8. Conflict of Interest. The consultant agrees to immediately alert the city <br /> 85 Community Development Director of possible contractual conflicts of <br /> 86 interest in representing the city, as well as property owners or developers <br /> 87 on the same project.
