HOUSING & REDEVELOPMENT AUTHORITY <br />IN AND FOR THE CITY OF ROSEVILLE <br /> SERVICES AGREEMENT FOR THE <br />HOUSING PROGRAM COORDINATOR POSITION <br />th <br />THIS IS AN AGREEMENT <br /> entered into the 19 day of April, 2011 by and between the <br />Housing & Redevelopment Authority in and for the City of Roseville, Minnesota, hereinafter <br />referred to as the HRA, and the City of Roseville, a governmental municipality organized and <br />existing under the laws of the State of Minnesota, hereinafter referred to as the City. <br />WITNESSETH: <br />WHEREAS <br />, the HRA desires to contract with the City for the services of administrative <br />staff in the form of the Housing Program Manager to support the administrative undertakings of <br />the HRA. <br />NOW THEREFORE <br />, the parties hereto do mutually agree as follows: <br />I.Scope of Services <br />. The Housing Program Manager position assigned by the City to <br />the HRA shall perform necessary and requested services relating to the actions and activities of <br />the HRA as outlined below: <br />A.Administering housing programs offered by the HRA <br />B.Implement the programs and objectives of the HRA Housing Plan and HRA Board; <br />C.Serving as liaison with the Metropolitan Council, and housing partners regarding programs <br />and services <br />D.Organize the Living Smarter Fair <br />E.Other duties as directed by the Executive Director and HRA Board. <br />II. Term. This agreement shall be effective upon the approval of the HRA Board of <br />Directors and the City Council and shall continue for one calendar year subject to written <br />renewal by the parties for subsequent one year terms. <br />III. Compensation. The fees for the City services shall be paid as a transfer of funds <br />from the HRA to the City of Roseville prorated on a quarterly basis. The maximum total fee for <br />2011 is $63,505 (salary and benefits) which includes an estimated 29 hours per week of the <br />Housing Program Manager’s time as approved by the HRA Board. <br />IV. Indemnification. <br /> The parties shall indemnify and hold harmless each other and their <br />officials, agents, and employees from any loss, claim, liability, and expense (including <br />reasonable attorney's fees and expenses of litigation) arising out of any action of the respective <br />parties in the performance of the service of this contract. <br />V.
