I <br />MEMORANDUM OF UNDERSTANDING <br />2 <br />BETWEEN <br />3 <br />CITY OF ROSEVILLE, MINNESOTA <br />4 <br />AND CENT' VENT'S <br />5 <br />6 <br />This <br />MEMORANDUM OF UNDERSTANDING is hereby made and entered into by and <br />7 <br />between the City of Roseville, "the City,"' and Cent Ventures, "the Developer." <br />8 <br />9 <br />A. <br />PURPOSE <br />10 <br />11 <br />1. <br />The purpose of this MOU is to articulate the responsibilities of the City and the Developer in <br />12 <br />regards to the implementation grants awarded to the City by the Metropolitan Council <br />13 <br />through the Livable Communities Program's Tax Base Revitalization Account (TBRA) for <br />14 <br />environmental remediation activities on the Xtra Lease and Old Dominion sites. Nothing in <br />15 <br />this agreement shall be construed as altering the terms and conditions of the grants. <br />16 <br />17 <br />B. <br />THE CITY OF ROSEVILLE SHALL.- <br />18 <br />19 <br />1. <br />Pass through grant funding awarded to the City from the Metropolitan Council's Livable <br />20 <br />Communities Tax Base Revitalization Account (TBRA) in the amount of $,189,,000 to the <br />21 <br />Developer pursuant to the terms of the grant, upon approval of reimbursement requests by <br />22 <br />the Metropolitan Council. <br />23 <br />2. <br />Not be responsible for payment of environmental remediation cost if reimbursement is for <br />24 <br />expenditures made by the Developer is denied by the Metropolitan Council. <br />25 <br />3. <br />Not be responsible for environmental remediation or remediation costs for this project. <br />26 <br />4. <br />Endeavor to work with the Metropolitan Council to amend the project scope and/or seek an <br />27 <br />extension to the grant period upon the reasonable request by the Developer. <br />28 <br />29 C. THE DEVELOPER SHALL.- <br />30 <br />31 1. Undertake the scopes of work identified in the TBRA Grant Agreement (Exhibit A), and <br />32 comply with all the requirements and limitations of the TBRA Grant Agreement. <br />3 3 2. Comply with all applicable local, state and federal laws and the agreement entered into by the <br />3 4 City of Roseville and the Metropolitan Council specific to the TBRA grant. <br />3 5 3. Require contractors and subcontractors performing work covered by the TBRA grants to <br />3 obtain all required permits, licenses and certifications, and comply with all state and federal <br />3 7 Occupational Safety and Health Act regulations, especially the federal Hazardous Waste <br />3 8 Operations and Emergency Response standards under Code of Federal Regulations, title 29, <br />3 sections 1910.120 and 1926.65. <br />40 4. Prepare payment request forms and provide all back up documentation as required by the <br />41 Metropolitan Council for review and submittal by the City. <br />
