Attachment C <br />1 MEMORANDUM of UNDERSTANDING <br />2 BETWEEN <br />3 CITY of ROSEVILLE, MINNESOTA <br />4 AND AEON <br />5 <br />6 This MEMORANDUM of UNDERSTANDING is hereby made and entered into by and <br />7 between the City of Roseville, "the City," and Aeon. <br />S <br />9 A. PURPOSE <br />to <br />11 1. The purpose of this MoU is to articulate the responsibilities of the City and Aeon in regards <br />12 to the implementation grants awarded to the City by the Metropolitan Council through the <br />13 Livable Communities Program for the Har Mar Apartment project. Nothing in this agreement <br />14 shall be construed as altering the terms and conditions of the grants. <br />15 <br />16 B. THE CITY of Ro SEVILLE SHALL: <br />17 <br />18 1. Pass through grant funding awarded to the City from the Metropolitan Council's Livable <br />19 Communities Demonstration Account (LCDA) in the amount of $305,000 to Aeon pursuant <br />20 to the terms of the grant. <br />21 2. Pass through grant funding awarded to the City from the Metropolitan Council's Livable <br />22 Communities Tax Base Revitalization Account (TBRA) in the amount of $121,500 to Aeon <br />23 pursuant to the terms of the grant. <br />24 <br />25 C. AEON SHALL: <br />26 <br />27 1. Undertake the scopes of work identified in the LCDA Grant Agreement (Exhibit A) and <br />28 TBRA Grant Agreement (Exhibit B). <br />29 2. Be responsible to provide required project matching funds for the LCDA and TBRA grants. <br />30 3. Comply with all applicable state and federal laws and the agreement entered into by the City <br />31 of Roseville and the Metropolitan Council specific to the LCDA and TBRA grants. <br />32 4. Require contractors and subcontractors performing work covered by the LCDA and TBRA <br />33 grants obtain all required permits, licenses and certifications, and comply with all state and <br />34 federal occupational Safety and Health Act regulations, especially the federal Hazardous <br />35 Waste operations and Emergency Response standards under Code of Federal Regulations, <br />36 title 29, sections 1910.120 and 1926.65. <br />37 5. Prepare payment request forms and provide all back up documentation as required by the <br />38 Metropolitan Council for submittal by the City. <br />39 6. Prepare required LCDA and TBRA grant annual report, final report, and certificate of <br />40 expenditures, pursuant to Metropolitan Council requirements for submittal by the City. <br />41 7. Prepare required asbestos and lead abatement final reports as identified in Exhibit B and <br />42 provide a copy of these reports to the City. <br />1 <br />
