41 48 4. City Representative. Patrick Dolan shall act as the City's representative with respect to 49 the work to be performed under this Agreement. Such representative shall have 50 authority to transmit instructions, receive information and interpret and define the City's 51 policies and decisions with respect to the work to be performed under this Agreement, 52 but shall not have the right to enter into contracts or male binding agreements on behalf 53 of the City with respect to the work or this Agreement. The City may chang e the City's 54 representative at any time by notifying the Contractor of such change in writing. 55 56 A. In the event that the pity requires any special conditions or requirements relating to 57 the work and/or this Agreement, such special conditions and requirements are stated 58 in Exhibit C attached hereto. The parties agree that such special conditions and 59 requirements are incorporated into and made a binding part of this Agreement. The 60 Contractor agrees to perform the Work in accordance with, and this Agreement shall 1 be subject to,the conditions and requirements set forth in Exhibit C. 63 5. Method of Payment The Contractor shall submit to the City, on a monthly basis, an 64 itemized invoice for work performed under this Agreement during the previous month. 65 Invoices submitted shall be paid in the same manner as other claims made to the City. 66 Invoices shall contain the following. 7 68 A. The Contractor shall provide a description of the work performed, the period to 69 which the invoice applies, and the payment amount due for such period. In addition 70 to the foregoing, all invoices shall contain, if requested by the City, the City's project 71 number, a progress summary showing the original (or amended) amount of the 72 Agreement, the current billing,past payments, the unexpended balance due under the 73 Agreement, and such other information as the City may from time to time reasonably 74 require. 75 76 B. To receive any payment pursuant to this Agreement, the invoice must include the 77 following statement dated and signed by the Contractor: "I declare under penalty of 78 perg that this account, claim, or demand is just and correct and that no part of it has 79 been paid."' 80 81 The payment of invoices shall be subject to the following provisions: 82 83 A. The City shall have the right to suspend the work to be performed by the 84 Contractor under this Agreement when it deems necessary to protect the City, 85 residents of the City or others who are affected by the work. If any work to be 86 performed by the Contractor is suspended in whole or in part by the City, the 87 Contractor shall be paid for any services performed prior to the delivery upon the 88 Contractor of the written notice from the City of such suspension. 8 0 B.
