Attachment D 2 3 4 Agreement for Waste Removal Services 5 6 7 8 9 10 12 This Agreement("'Agreemenf') is made on the 1- day of January, 2012,between the Roseville,13 City of a municipal corporation (hereinafter "City"), and Nitti Sanitation, Inc., a Minnesota corporation(hereinafter"Contractor's). 1 16 Preliminary Statement 17 18 The City has adopted a policy regarding the selection and retention of contractors to provide a. 19 variety of services for City projects. That policy requires that persons, farms or corporations 20 providing such services enter into written agreements with the City. The purpose of this 1 Agreement is to set forth the terms and conditions for the performance of waste removal services by the Contractor. 4 The City and Contractor agree as follows; 5 26 1. Scope of Work Proposal The Contractor agrees to provide the waste removal services 27 described in Exhibit"'X' attached hereto ("Work7) in consideration for the compensation 28 set forth in Provision 3 below. The terms of this Agreement shall tale precedence over 9 and supersede any provisions and/or conditions in any proposal submitted by the o Contractor. 31 32 1 Terms. The term of this Agreement shall be from January 1, 2012, through December 3 1, 3 2014,the date of signature by the parties notwithstanding. 34 5 3. Compensation for Services. The City agrees to pay the Contractor the compensation 36 described in Exhibit B attached hereto for the Work subject to the following: 37 38 A. Any changes in the Work which may result in an increase to the compensation due 39 the Contractor shall require prior written approval of the City. The City will not pay 40 additional compensation for work that does not have such prior written approval. 41 42 B. Third party independent contractors and/or subcontractors may be retained by the 43 Contractor when required by the complex or specialized nature of the work when 44 authorized in writing by the City. The Contractor shall be responsible for and shall 45 pay all costs and expenses payable to such third party contractors unless otherwise 46 agreed to by the parties in`Writing.
