Such City personnel shall not 45 be entitled to any compensation, rights or benefits of any kind from the DRA including, workers' 46 compensation benefits, unemployment compensation, disability, severance pay, or retirement 47 benefits. 48 49 V. Assi nment. This Agreement shall not be assigned or transferred by the City or the 50 DRA without written consent of the other party and a minimum of 30 days notice in writing by 51 the City. 52 53 VI. Termination: This Agreement may be terminated by either party prior to the 54 termination date set forth in Provision 2 above, with or without cause, by giving the other party 55 written notice of such termination at least 30 days prior to the date of such termination. The date 56 of termination shall be stated in the notice. In the event of such termination the Contract Fee 57 payable by the DRA shall be prorated based upon the number of days that this Agreement is in 58 effect prior and including the date of termination bears to 365 ("Adjusted Fee"). In the event of 59 such early termination the DRA shall pay to the City for the quarter in which such early 60 termination occurs, the unpaid amount of the Adjusted Fee, which amount shall be paid within 61 10 days after the early termination date rather than at the end of the quarter. 62 63 VII. Notices. Any notice to be given by either party upon the other under this Agreement 64 shall be properly given: a) if delivered personally to the City Manager if such notice is to be 65 given to the City, or if delivered personally to the Executive Director if such notice is to be given 66 to the DRA, or b) if mailed to the other party by United States registered or certified mail, return 67 receipt requested, postage prepaid, addressed in the manner set forth below: 68 69 If to City: City of Roseville 70 Attn: City Manager 71 2660 Civic Center Drive 72 Roseville, MN 55113 73 74 If to DRA: Dousing &Redevelopment Authority 75 in and for the City of Roseville 76 Attn: DRA Chair 77 2660 Civic Center Drive 78 Roseville, MN 55113 79 80 Notices shall be deemed effective on the date of receipt if given personally, or on the date of 81 deposit in the U.S. mails if mailed; provided, however, if notice is given by deposit in the U.S. 82 mails the time for response to any notice by the other party shall commence to run one business 83 day after the date of mailing. Any party may change its address for the service of notice by 84 giving written notice of such change to the other party, in any manner above specified, 10 days 85 prior to the effective date of such change. 86 2
