The IRA shall pay the City a fee of$ 20,551_("Contract Fee") for the 47 services set forth in Provision I above. The Contract Fee shall be paid in four equal installments 48 of$ _5,137.75_payable at the end of each quarter of the term of this Agreement. The IRA's 49 use of the Community Development Director shall not exceed_312_hours during the term of 50 this Agreement. 51 52 53 IV. Employment Status and Control of Work. The parties acknowledge that the City is 54 acting as an independent contractor for the IRA under this contract. The City shall supply, at its 55 own expense, all personnel, materials, supplies and equipment required to provide the services 56 contemplated by this Agreement. Any employee assigned by the City to perform work under 57 this Agreement shall remain the exclusive employee of the City for all purposes, including but 58 not limited to wages, salary, benefits and workers' compensation. Such City personnel shall not 59 be entitled to any compensation, rights or benefits of any kind from the IRA including, workers' 60 compensation benefits, unemployment compensation, disability, severance pay, or retirement 61 benefits. 62 63 V. Assi nment. This Agreement shall not be assigned or transferred by the City or the 64 IRA without written consent of the other party and a minimum of 30 days notice in writing by 65 the City. 66 67 VI. Termination: This Agreement may be terminated by either party prior to the 68 termination date set forth in Provision 2 above, with or without cause, by giving the other party 69 written notice of such termination at least 30 days prior to the date of such termination. The date 70 of termination shall be stated in the notice. In the event of such termination the Contract Fee 71 payable by the IRA shall be prorated based upon the number of days that this Agreement is in 72 effect prior and including the date of termination bears to 365 ("Adjusted Fee"). In the event of 73 such early termination the IRA shall pay to the City for the quarter in which such early 74 termination occurs, the unpaid amount of the Adjusted Fee, which amount shall be paid within 75 10 days after the early termination date rather than at the end of the quarter. 76 77 78 VII. Notices.
