Attachment A <br />SHARED SERVICES AGREEMENT <br />FOR THE CITY OF ROSEVILLE EXTENSION OF IP TELEPHONY SERVICES <br />TO THE RAMSEY WASHINGTON SUBURBAN CABLE COMMISSION <br />THIS SHARED SERVICES AGREEMENT entered into by and between the CITY <br />OF ROSEVILLE, a Minnesota municipal corporation ( "Roseville "), and the RAMSEY <br />WASHINGTON SUBURBAN CABLE COMMISSION, a Minnesota <br />( "RWSCC "), is effective upon the execution of this Agreement by the named officers of both <br />organizations. <br />RECITALS <br />WHEREAS, RWSCC owns Cisco Internetworking Protocol (IP) telephony handsets, <br />voice gateways and other Cisco IP telephony peripheral equipment and; <br />WHEREAS, RWSCC requires access to Cisco IP telephony control equipment which <br />includes Call Manager, Unity Voice Mail, and other associated Cisco IP control devices and; <br />and; <br />WHEREAS, RWSCC requires technical support to operate and maintain this equipment <br />WHEREAS, Roseville has existing Cisco Internetworking Protocol (IP) control <br />equipment which can be extended to RWSCC and; <br />WHEREAS, Minn. Stat. § 471.59 authorizes political subdivisions of the State to enter <br />into Joint Powers Agreements for the joint exercise of powers common to each. <br />NOW, THEREFORE, it is mutually stipulated and agreed to as follows: <br />1. SERVICES. <br />A. Roseville shall provide qualified management information systems employees <br />( "Employees ") to perform telephony related technical services required by RWSCC.
