HOUSING & REDEVELOPMENT AUTHORITY 1 IN AND FOR THE CITY OF ROSEVILLE 2 SERVICES AGREEMENT 3 4 THIS AGREEMENT 5 is entered into as of the _9th_ day of _January, 2012 by and 6between the Housing & Redevelopment Authority in and for the City of Roseville, Minnesota, 7hereinafter referred to as the HRA, and the City of Roseville, a Minnesota municipal corporation, 8hereinafter referred to as the City. 9 WITNESSETH: 10 11 WHEREAS 12, the HRA desires to contract with the City for certain fiscal assistance 13services in connection with the operations and activities of the HRA. 14 NOW THEREFORE 15, the parties hereto do mutually agree as follows: 16 17I.Scope of Services. The City shall perform necessary and requested services for the 18implementation of financial actions and activity of the HRA summarized as follows: 19 20A.Process bi-weekly payroll and payment of invoices. 21B.Provide monthly reporting including summaries of past and current revenues and 22expenditures. 23C.Provide assistance and guidance in the preparation of the HRA’s annual budget. 24D.Coordinate the selection of a CPA firm and the preparation of all audit work papers 25for the purposes of conducting an annual financial audit. (Audit costs shall be paid 26by the HRA). 27E.Establish and maintain all banking and investment relationships and procedures. 28F.Provide for the proportionate share of office space, office supplies, etc. 29G.Maintain coverage for the HRA and its activities, on the City’s insurance policies. 30 31II. Term. This agreement shall be effective upon the approval of the HRA Board of 32Directors and the City Council, whichever occurs last, and shall continue for a period of one year 33thereafter (i.e. January 1, 2012 through _December 31, 2012). 34 35 III. Fee. The HRA shall pay the City a fee of $ ___5,173_ (“Contract Fee”) for the 36services set forth in Provision I above. The Contract Fee shall be paid in four equal installments 37of $ __1, 293.25 payable at the end of each quarter of the term of this Agreement. 38 39IV. Employment Status and Control of Work. The parties acknowledge that the City is 40acting as an independent contractor for the HRA under this contract. The City shall supply, at its 41own expense, all personnel, materials, supplies and equipment required to provide the services 42contemplated by this Agreement. Any employee assigned by the City to perform work under 43this Agreement shall remain the exclusive employee of the City for all purposes, including but 44not limited to wages, salary, benefits and workers’ compensation. Such City personnel shall not 45be entitled to any compensation, rights or benefits of any kind from the HRA including, workers’ 1
