This Agreement shall not be assigned or transferred by the City or the 50HRA without written consent of the other party and a minimum of 30 days notice in writing by 51the City. 52 53VI.Termination: This Agreement may be terminated by either party prior to the 54termination date set forth in Provision 2 above, with or without cause, by giving the other party 55written notice of such termination at least 30 days prior to the date of such termination. The date 56of termination shall be stated in the notice. In the event of such termination the Contract Fee 57payable by the HRA shall be prorated based upon the number of days that this Agreement is in 58effect prior and including the date of termination bears to 365 (“Adjusted Fee”). In the event of 59such early termination the HRA shall pay to the City for the quarter in which such early 60termination occurs, the unpaid amount of the Adjusted Fee, which amount shall be paid within 6110 days after the early termination date rather than at the end of the quarter. 62 63VII.Notices. Any notice to be given by either party upon the other under this Agreement 64shall be properly given: a) if delivered personally to the City Manager if such notice is to be 65given to the City, or if delivered personally to the Executive Director if such notice is to be given 66to the HRA, or b) if mailed to the other party by United States registered or certified mail, return 67receipt requested, postage prepaid, addressed in the manner set forth below: 68 69If to City: City of Roseville 70Attn: City Manager 712660 Civic Center Drive 72Roseville, MN 55113 73 74If to HRA: Housing & Redevelopment Authority 75in and for the City of Roseville 76Attn: HRA Chair 772660 Civic Center Drive 78Roseville, MN 55113 79 80Notices shall be deemed effective on the date of receipt if given personally, or on the date of 81deposit in the U.S. mails if mailed; provided, however, if notice is given by deposit in the U.S. 82mails the time for response to any notice by the other party shall commence to run one business 83day after the date of mailing.
