Gifts, Grants, Loans <br />With concurrence from Board members, Chair Eckman noted the need to again change the language <br />from "may" to "shall; "for the first sentence to read: "The Organization may, within the scope of this <br />Agreement, accept gifts, apply for and use grants or loans of money or other property from the United <br />States, the State of Minnesota, a unit of government or other governmental unit or organization, or <br />from any person or entity for the purposes described herein and may enter into any reasonable <br />agreement required in connection therewith; it may [shall] comply with any laws or regulations <br />applicable thereto; and it may [shall] hold, use and dispose of such money or property in accordance <br />with the terms of the gift, grant, loan or agreement relating thereto. " <br />Ayes: 4 Nays: 0 Motion carried. <br />Amendment to Mr. Petersen's Professional Services Agreement <br />Mr. Petersen reviewed the current contract between GLWMO and himself and noted the obvious shortfall <br />from what was approved in December, 2010. and his cumulative administrative and technical support <br />services to -date. At the direction of the GLWMO Chair in December, 2010, Mr. Petersen advised that he <br />had originally submitted his contract for hours totaling a contracted amount of $20,520; however, the <br />actual budget allotment for administrative and technical services was $32,500 as approved in July 2010. <br />Mr. Petersen advised that his contracted hours would expire by the end of September unless revised. <br />Based on his calculations for additional meetings and the projected workload for the remainder of 2011, <br />Mr. Petersen provided a revised spreadsheet for projected administrative and technical service needs for <br />the period from August 14, 2011 through December 31, 2011, including a 10% contingency fund, and <br />recommending additional funds totaling $6,138 and amending his original contract for the remainder of <br />2011. <br />Mr. Petersen estimating that approximately 137 additional hours were needed for his services through <br />yearend. <br />Motion 11 -08 -07 <br />Member Miller moved, and Member Westerberg seconded approval of the amendment to Tom Petersen's <br />Contract for administrative and technical services for the period of August 14 — December 31, 2011 in the <br />additional amount of $6,138.00 for an approximate 137 hours through December 31, 2011. <br />Member Miller spoke in support of the motion; opining that with all the additional work on the Third <br />Generation Plan, it was essential that Mr. Petersen continue addressing the needs of the GLWMO. <br />Chair Eckman reiterated recognition that the Board received value added assistance from Mr. Petersen. <br />Ayes: 4 Nays: 0 Motion carried. <br />12 <br />
