506 <br />507 Motion 11 -08 -05 <br />508 Member Westerberg moved, and Member Von De Linde seconded approval of the August 14, 2011 <br />509 invoice from Tom Petersen in the total amount of $2,281.70 ($2,238.75 for Administrative and Technical <br />510 Services and photo copies for the August 18, 2011 GLWMO Board meeting in the amount of $42.95); for <br />511 the period from July 17, 2011 through August 13, 2011. <br />512 <br />513 Ayes: 4 Nays: 0 Motion carried. <br />514 <br />515 GLWMO JPA/By -Laws <br />516 Chair Eckman thanked Member Miller for incorporating individual GLWMO Board member and Mr. <br />517 Petersen's comments into this latest DRAFT Amended Joint Powers Agreement (JPA) with the member <br />518 Cities of Shoreview and Roseville. <br />519 <br />520 Member Miller suggested that members review this draft, and provided additional feedback, and at that <br />521 time take formal action to direct the draft to the respective City Attorney's; and upon their approval, the <br />522 GLWMO Board would take action at a future meeting recommending its adoption to the respective <br />523 member city Councils. <br />524 <br />525 Mr. Schwartz responded negatively when Mr. Petersen questioned whether he was aware, from his <br />526 historical background with the GLWMO, if the GLWMO had a designated Attorney; and whether there <br />527 would be any conflict of interest concerns related to approval of the document. <br />528 <br />529 Mr. Schwartz responded that, should there be any disagreement on the GLWMO Board of comments <br />530 received from either City Attorney, they could at that point consult with an outside attorney of their <br />531 choosing. <br />532 <br />533 Motion 11 -08 -06 <br />534 Member Westerberg moved, and Member Von De Linde seconded approval of forwarding the DRAFT <br />535 Joint Powers Agreement (JPA) as presented, and as further amended during tonight's discussion, to <br />536 respective member City Attorneys for their review and comment, in care of their Public Works Directors. <br />537 <br />538 Member Miller advised that he would incorporate further comments from tonight's discussion into an <br />539 updated draft to be provided to the respective City Attorneys. <br />540 <br />541 Page 9, Subdivision 5. Committees <br />542 Chair Eckman questioned if there was specific language in Statute that a WMO had to have a Citizen's <br />543 Advisory Committee (CAC). <br />544 <br />545 Mr. Schwartz responded that such requirement was part of the rule. <br />546 <br />547 With Board member concurrence, Chair Eckman suggested that "shall" be used instead of "may" in <br />548 the first sentence, to read: "The Board may [shall] appoint such committees and subcommittees, <br />549 establishing terms and conditions for such committees, as it deems necessary, for as mandated]. " <br />550 <br />551 Page 9, Subdivision 8. Local Water Management Plan <br />552 Should the Board disapprove of either member City's Watershed Management Plan and consistency with <br />553 the Water Surface Management Plan of the GLWMO, Chair Eckman questioned what the recourse would <br />554 be. <br />555 <br />556 Mr. Schwartz, as well as Mr. Ferrington, responded that arbitration would then be required. <br />11 <br />
