Guid�s <br />shall co�sti�tut` raquiremer_�s and duties of the ��.ty_ Obl�.gat�.ons <br />and warran.ties ot an "a�minis-�x-atzve enti.ty" to i�he �IHrA created <br />by the r�IHFI-1 Pracedural Gui.des snall, constit�te obZi.c�ations and <br />Urarranties o� the City to both the Council and the ?�IHFA_ <br />4. The City shalZ use its best effnzts �romp�Iy and with due diligenCe <br />to u�il.ize th� grant funds allocated�to it; and sha11 utilize all <br />grar�t funds allocated to it by August 31, 1977. Funds not utilized <br />by P_ugust 31, 197? shali be returned to ��€HFA. <br />5. The City shall commence to make grants complying �,ri�h the terms <br />her�o� from and after the datp oz� u�hich �he �greerient becomes <br />etf ect�ive by �ravidina publicity about the program and technical <br />assi,s�ance to grant reci�ients zn compl.yi.ng with th� t��s and <br />conditzans of the MHFA Home Ir,tprovement Grant Procedural Guides. <br />6. T?�e Counc�l shal� use i�s best e�forts nror�ptly and with due di.ligence <br />to r�rovide traininq to Citv staf� on }aroc�du�es and �echniques �or <br />adrnin.i.stering and providing technical assistance to grant recix�ients; <br />and 5ha11 disburse gran� funds allvcated tQ th� City accarding to the <br />te�rts and conditions oi the P!IHFA Home ir►�prov�ent Grant Program <br />Procedu�aZ Guides. <br />7. The Council shall reimburse the City fa� the cos�s of administering <br />and providing technical assistance to grant recipients up to the <br />maximum a].lowable �ursuant to paragraph 2 0� this agreEment. Such <br />reimbursement sh.aJ.l be *_nade upon request af the City after aI1 grant <br />funds have b�en committed and upan itemized documentation as t�. the <br />nature o� the expenditures. <br />8. The Agreement may be terminated at any time by ei.ther garty upon ten. <br />days priar written notice to the other party. In the even.t o� such <br />term�nation, th� Councii sha11 therea�te� d�.sburse grant funds cvith <br />respect to aIl in.dividuaZ grant applzeatians which, prior to the <br />effective date o� said natice of termination, shall have recei.ved MHFA <br />approval and au�.horization �o commence work and each party sha�,l be <br />required to carry out �he ternts ot th� Agreement wi�h respect to each <br />of such grants. <br />9. The Ci.ty in accordance with its status as an independent contraetor <br />agrees that it �,vill conduct itsel.f cansistent with such status and <br />th�t zt wi1.1 not hold itself out or claim that its officers and em- <br />ployees are e;nplayees oE the Cauneil. By r�ason hereo�, it w�.11 make <br />no clai,m, demand or appl.i.Cation to or for any right or pri.vilege <br />app�i.cabl� to any o�fic�r or employee of the Counczl_, in.cluding� but <br />not limited to workman's caznpensatzon coverage, unemp�ayme�zt insuranee <br />
