Upon expiration or early termination of this Agreelnent, any funds <br />ren1aining in Retained Earnings, after payn1ent of all outstanding Range <br />debts, shall be apportioned and paid out in the following manner: 35 <br />percent to Washington County and 65 percent to Ramsey County. <br /> <br />6. Upon tern1ination of this Agreen1ent, all Range Training Equipn1ent shall <br />be the property of Ramsey County. <br /> <br />7. If Ramsey County unilaterally terminates this Agreement before the <br />expiration of the 140 year term as described in Article II. herein, upon <br />tern1ination of this Agreement, Washington County shall have the option <br />to ren1ain a First Priority Level User with all the attendant rights and <br />obligations under this Agreement and the Operations Agreement of a First <br />Priority User Agreement, for the ren1ainder of the 140 year period. <br /> <br />B. Indemnification <br />Each Party to this Agreelnent shall be liable for its o\vn acts to the extent provided <br />by law and hereby agrees to inden1nify, hold hannless, and defend the other, its <br />officers and employees against any and all liability, loss, costs, damages, <br />expenses, claims, or actions, including attorney's fees which the other, its officers <br />and employees may hereafter sustain, incur, or be required to pay, arising out of <br />or by reason of any act or omission of the Party, its agents, servants, or <br />employeys. <br /> <br />It is understood and agreed that each Party's liability shall be lilnited by the <br />provisions of MINN. STAT. CH 466 (Tort Liability, Political Subdivisions) or <br />other applicable law. <br /> <br />c. Alterations <br />Any alteration, variation, 1110dification, or waiver of the provisions of this <br />Agreell1ent shall be valid only after it has been reduced to writing and duly signed <br />by both parties. <br /> <br />D. Entire Agreement <br />It is understood and agreed that the entire Agreement between the parties is <br />contained here and this Agreement supersedes all oral agreements and <br />negotiations between the parties relating to the subject matter. All items referred <br />to in this Agreelnent are incorporated or attached and are deen1ed part of this <br />Agreement. <br /> <br />E.
