<br />XII. DISPUTE RESOLUTION <br />A. The Parties 'will nlake a good faith effort to resolve all disputes arising under this <br />Agreement through the Operations Committee. <br /> <br />B. Any dispute not resolved within a reasonable time by the Operations COlnnlittee <br />shall be subnlitted to the Ranlsey Board and Washington Board for joint <br />resolution. <br /> <br />C. If the county boards fail to resolve a dispute within a reasonable time, the Parties <br />nlay agree to submit the matter to binding arbitration. If the Pmiies do not agree <br />to binding arbitration, either Party nlay elect to pursue any of its legal renledies. <br /> <br />D. If the County Boards are unable to reach agreement on the annual Range budget <br />or Range users fees by Decenlber 1 of the prior year, the Parties agree to submit <br />the matter to Inediation for final resolution. <br /> <br />XIII. GENERAL TERMS AND CONDITIONS <br />A. Termination <br />1. This Agreement nlay be mutually terminated upon ternlS and conditions as <br />agreed to by the Parties. <br /> <br />2. Neither party may tenninate this Agreenlent unilaterally during the initial <br />five-year period of this Agreement. Thereafter, a party nlay terminate this <br />Agreement unilaterally only upon 12 months' 'written notice, delivered in <br />person to the other pmiy's County Board Chair or designee. <br /> <br />3. If this Agreement is unilaterally terminated on or after the date that is 30 <br />years from the date the Facility opens, Washington County shall have no <br />rights to receive return of any portion of the $1,000,000 payment nlade by <br />Washington County under the terms of this Agreement. <br /> <br />4. If this Agreement is unilaterally terminated by a party before the date that <br />is.30 years from the date the Facility opens: <br />a. If Washington County terminates the Agreement, Washington <br />County shall have no rights to receive return of any portion of the <br />$1,000,000 payment made by Washington County under the terms <br />of this Agreement. <br />b. If Ramsey County tenninates the Agreement, Ranlsey County shall <br />PQY $1.000.0GO to \Va:;hington County, within 30 calendar days <br />follovving the effective date of termination. return to \tVashington <br />County all or a portion of the $1.000.000 paid bv \Vashinuton <br />Countv as follovvs: [ftermination is effective viithin five veal'S of <br />contract effective date (the opening of the Facilitv).
