73 <br />6.4 If this Agreement is terminated under Section 8 hereof, both cities shall <br />74 <br />nevertheless be liable for the payment of their cost share which is incurred up to the date of <br />75 <br />termination of this Agreement, or as a result of termination of this Agreement. <br />76 <br />7. SERVICES TO BE PROVIDED BY SHOREVIEW <br />77 <br /> 7.1 Shoreview will provide qualified engineering employees to perform street and <br />78 <br />utility design and related technical services to the Project. These services include: <br />79 <br /> a) Complete design and feasibility studies; <br />80 <br />b) Conduct public meetings, including informational meetings and meetings <br />81 <br />with each city council if necessary; <br />82 <br />c) Prepare plans and specifications; <br />83 <br />d) Manage contracts made for completion of the Project and for items outside <br />84 <br />the Project included in section 2.3 hereof; <br />85 <br />d) Supervise construction, including inspection of the work; <br />86 <br />7.2 Shoreview may, at its discretion, contract with a qualified third party to conduct <br />87 <br />or complete any or all of these services. Shoreview employees shall be billed at their direct <br />88 <br />salary expenses. <br />89 <br />8. DISPUTE RESOLUTION <br />90 <br />8.1 If a dispute arises between the Cities regarding this agreement or the construction <br />91 <br />of the Project, the City Manager of each city, or their designees, must promptly meet and attempt <br />92 <br />in good faith to negotiate a resolution of the dispute. <br />93 <br />8.2 If the Cites have not negotiated a resolution of the dispute within 30 days after <br />94 <br />this meeting, the Cities may jointly select a mediator to facilitate further discussion. <br />95 <br />8.3 If a mediator is not used or if the Cities are unable to resolve the dispute within 30 <br />96 <br />days after the first meeting with the selected mediator, the dispute shall be adjudicated in civil <br />97 <br />court. <br />98 <br />8.
