35 <br />5 CONSTRUCTION <br />36 <br />5.1 If the final construction plans and specifications are approved by each city <br />37 <br />council, Shoreview shall proceed with construction of the Project. Shoreview shall advertise for <br />38 <br />bids in accordance with the requirements of the municipal contracting law. <br />39 <br />5.2 Prior to awarding construction contracts Shoreview shall review the bids received <br />40 <br />with Roseville. If the contracts exceed the cost estimates contained in the construction plans <br />41 <br />(including a contingency budget) previously approved by the Cities either party can elect not to <br />42 <br />proceed with the project. The bids shall be approved by each city council or the project shall not <br />43 <br />proceed. <br />44 <br />5.3 Shoreview will be the contracting party and will use ordinary and prudent efforts <br />45 <br />to require that the Project is constructed in compliance with approved plans and specifications <br />46 <br />and completed with reasonable promptness. <br />47 <br />5.4 Shoreview will notify Roseville of any change order which increases the cost of <br />48 <br />any individual construction contract for the Project by more than $5,000 of the original amount <br />49 <br />thereof or which materially changes the scope of the Project. Shoreview shall obtain the written <br />50 <br />authorization of Roseville prior to approving such a change order. However, prior written <br />51 <br />authorization is not necessary if the change order presents imminent health/safety issues making <br />52 <br />prior authorization impractical. In such cases, the change order shall be reasonably presented to <br />53 <br />Roseville for ratification. Roseville must not unreasonably withhold its consent to change orders <br />54 <br />resulting from unforeseen circumstances arising from the construction. <br />55 <br />6. PAYMENT OF COSTS OF PROJECT <br />56 <br />6.1 All costs of the Project will be shared equally by the Cities, except that the costs <br />57 <br />of utilities that are replaced will be paid by the benefited city. Costs will include, but not be <br />58 <br />limited to, the services identified in Article 7 hereof, all costs related to obtaining all necessary <br />59 <br />permits and approvals for the Project, costs incurred in agreements, and any and all other costs <br />60 <br />associated with the Project. <br />61 <br />6.2 The City of Roseville will pay to the City of Shoreview 90% of Roseville’s share <br />62 <br />of the anticipated project costs within 30 days of the City of Shoreview awarding the contract for <br />63 <br />construction of the proposed improvements. The remaining 10% will be paid within 30 days <br />64 <br />after completion of the proposed improvements. <br />65 <br />6.3 All invoices or requests for payment will be approved and paid by Shoreview. <br />66 <br />Within 10 days of the end of each calendar month, Shoreview shall provide a statement to <br />67 <br />Roseville showing the prior month’s activity, the invoices received, the full costs of services <br />68 <br />provided by Shoreview staff, and the amount Roseville owes to Shoreview for the Project and for <br />69 <br />items outside of the Project, such as those in sections 2.3 hereof. Within 30 days of the receipt of <br />70 <br />that statement, Roseville shall provide in writing a list and explanation of any amounts it disputes <br />71 <br />and pay the undisputed amount. Any disputes regarding payment shall be resolved through the <br />72 <br />dispute resolution process contained in Article 8 hereof. <br />-2- <br /> <br />
