be commenced within 10 days after University’s request, and thereafter be diligently prosecuted <br />230 <br />to completion. In any event, such an investigation shall be commenced as soon as reasonably <br />231 <br />practicable and thereafter be diligently prosecuted to completion. Licensee shall provide to <br />232 <br />University an electronic copy of the environmental audit immediately after it is available to <br />233 <br />Licensee. <br />234 <br />235 <br />4.5 If Licensee fails to perform its obligations under this section, the University shall <br />236 <br />have the right, but not the obligation, to perform Licensee’s obligations and charge Licensee for <br />237 <br />the costs and expenses reasonably incurred by University in doing so. Licensee shall reimburse <br />238 <br />the University for all such costs and expenses within 30 days after receipt of an invoice together <br />239 <br />with a detailed explanation of the basis for the charges contained in the invoice. University shall <br />240 <br />provide to Licensee an electronic copy of any environmental audit undertaken by or on behalf of <br />241 <br />the University for the University Property promptly after it is available to University. <br />242 <br />243 <br />4.6 Licensee hereby authorizes any and all governmental entities with responsibility <br />244 <br />for enforcement of Environmental Laws to release to University (or provide University with <br />245 <br />access to) all files related to alleged violations of Environmental Laws at the University <br />246 <br />Property. <br />247 <br />248 <br />5. Insurance. <br />249 <br />250 <br />5.1 Licensee’s Insurance Requirements: Licensee, at its sole cost and expense, shall <br />251 <br />obtain and keep in force the following insurance: <br />252 <br />253 <br />a. Commercial General Liability with limits required in Minnesota Statute Section <br />254 <br />466 (effective July 1, 2009, $500,000 per person and $1,500,000 per occurrence). Policy <br />255 <br />shall be Occurrence based, written on ISO Form CG 00 01 or its equivalent, and include <br />256 <br />coverage for Products/Completed Operations which shall be maintained for a period of <br />257 <br />three (3) years after the expiration of the Term. Regents of the University of Minnesota <br />258 <br />shall be added as an additional insured for ongoing and completed operations on ISO <br />259 <br />Forms CG 20 10 07 04 and CG 20 37 07 04 or equivalent. <br />260 <br />261 <br />b. Business Automobile Liability Insurance with limits required in Minnesota <br />262 <br />Statues Section 466 (effective July 1, 2009, $500,000 per person and $1,500,000 per <br />263 <br />occurrence). Policy shall be written on ISO form CA 00 01 or equivalent and apply to all <br />264 <br />owned, hired and non-owned automobiles. <br />265 <br />266 <br />c. Workers Compensation Insurance. Workers’ compensation insurance in <br />267 <br />compliance with all statutory requirements of the State of Minnesota. <br />268 <br />269 <br />d. Employer’s Liability Insurance. Limits of $100,000 bodily injury by disease per <br />270 <br />employee; $100,000 bodily injury by disease aggregate; and $100,000 bodily injury by <br />271 <br />accident. <br />272 <br />273 <br />e. Licensee shall provide to University prior to the Effective Date fully executed <br />274 <br />Certificates of Insurance evidencing that it has the required coverage. <br />275 <br />6 <br /> <br />
