EXTRACT OF MINUTES OF MEETING OF THE CITY COUNCIL OF THE CITY OF ROSEVILLE * * * * * * * * * * * Pursuant to due call and notice thereof, a regular meeting of the City Council of the City of Roseville, County of Ramsey, Minnesota was duly held on the 10th day of November, 1997, at 6:30 p.m. The following members were present: Maschka, Goedeke, Wiski, and Acting Mayor Mastel, and the following were absent: Mayor Wall. Member Maschka introduced the following resolution and moved its adoption: RESOLUTION NO. 9483 RESOLUTION APPROVING DECLARATION WITH EVEREST DEVELOPMENT, LTD. WHEREAS, a Declaration(as defined in paragraph 1) has been prepared to make certain ongoing responsibilities of Everest Development, Ltd., under that certain Development Agreement with the City of Roseville, Minnesota, dated as of June 26, 1991 (the "Development Agreement"), into covenants running with the land to bind future owners through May 1, 2010; NOW, THEREFORE, BE IT RESOLVED, by the Council of the City of Roseville, Minnesota, as follows: 1. Recitals. (a) The City of Roseville, Minnesota (the "City"), has the powers provided in Minnesota Statutes, Sections 469.028,469.048 through 469.068, and 469.124 through 469.134 (collectively, the "Act"). (b) Pursuant to and in furtherance of the objectives of the Act, the City has undertaken a program to promote development of certain land within the City and in this connection is engaged in carrying out its development project known as Municipal Development District No.1, Industrial Development District NO.1 and Redevelopment Project Area in the City (the "Project Area"). (c) There has been approved by the Council, pursuant to the Act, a Municipal Development Plan, Redevelopment Plan and Industrial Development District No. 1 Plan for the Project Area (collectively, the "Redevelopment Plan").
