� -� Attachment 1 PARKING LICENSE AGREEMENT This Parking License Agreement ("AgreemenP') is made and entered into as of this 27 day of January, ?009, by and between Twin Lakes Medica] Center Lintited Partnership ("Licensor°), located at 1835 County Road C W, Roseville, MN 55113, and Ramsey County ("Licensee"), located at 50 West Kellogg Boulevard, St. Paul, MN 55102. RECITALS: A. Licensor owns certain real property ]ocated at 1835 County Road C W, Roseville. MN 551 l3 (the "Parking Parcel") on which is located a paved and striped parking lot ("Parking LoP'). A depiction of the Parking Lot is attached hereto as Exhibit A. B. Licensee desires to use twenty (20) of the parking spaces located „�ithin the northwest portion of the Parking Lot on a non-exclusive, non-reserved temporary Uasis (such spaces being colleciively referred to hereafter as the "Premises") for passenger vehicle parking. The ]ocation of the Premises is as depicted on Exhibit A. Now, therefore, in consideration of the Recitals, and the mutual covenants of the parties contained herein, it is hereby agreed as follo�vs: Premises. Licensor hereby grants a license ("License") to Licensee, and Licensee hereby accepts from Licensor, the non-exclusive License to occupy the Premises. Term and Use. The terrrt of this License shall be for the period to commence on April 1, 2009, and, subject to eazlier termination as hereinafter provided, shall contintie fifteen (15) full calendar months, when this Agreement shall terminate. The Licensee will have a one-time option to extend this term £or one ( I) or two (2) months (that is, months sixteen (16) or seventeen (17)}. Lessee must provide written notice to Licensor prior to the end of the twelfth (12'h) month of the term in order to obtain this extension. The Premises may Ue used by Licensee, its agents, employees, guests, customers, and invitees solely for the purpose of passenger vehicle parking. Licensee shall not allow any non-authorized nor any non-operative vel�icles to be parked on the Premises. Compeusation. As the consideration for Licensee's use of said Premises, Licensee agrees to pay to Licensor a license fee of One Hundred Dollars ($100.00) plus tax per month. Payment is due and payable on or before the first day of each and every month during the period that this license is in eCfect. If I,icensor does not receive payment within five (5) days after the amount is due, Licensee shall pay a monthly late fee of Ten Percent ( l0%) of the outstanding balance owing. Page l of 4
