<br />WASH,NGTON COUNTY/CITY OF ROSEVILLE <br />COOPEF~ATVE AGF'\EEMENT FOR fv1lCROSLJR.FAC:NC; <br />CONSTRUCTION COST REIMBURSEMENT AND MAINTENANCE <br /> <br />unit prices and submit a copy to the City of Roseville. The City of <br />Roseville shall pay to tha Treasurer of Washington County an amount <br />equal to 19 percent of the City of Roseville's estimated construction cost <br />plus engineering costs, as outlined in Section E.2.a. <br /> <br />2. Washington County shall, when a pay estimate is made to the Contractor, <br />process the necessary paperwork to the State requesting reimbursement <br />for the Federal Aid share of the project for Washington County and the <br />City cf Roseville. <br /> <br />3. Upon substantial completion of the work, the County shall prepare an <br />updated revised estimate of cost participation breakdown which will be <br />based upon the contract unit prices and the actual units of work <br />performed and submit a copy to the City of Roseville. The engineering <br />costs to be paid to Washington County by the City of Roseville shall be <br />based on this estimated final construction cost. Washington County shall <br />add to the the City of Roseville's estimated final construction costs the <br />construction engineering costs, the costs of supplemental agreements, if <br />any make necessary adjustments for liquidated damages, if any, and <br />deduct the City of Roseville funds previously advanced for the project by <br />the City of Roseville. The City of Roseville agrees to pay to Washington <br />County any amounts due, if more than the amount of the total of the <br />partial payments made by the City of Roseville pursuant to Section F.1. <br /> <br />In the event the calculations show that the City of Roseville has advanced <br />funds in greater amount than is due Washington County, a refund without <br />interest shall be made to the City of Roseville. <br /> <br />G. CHANGE ORDERS AND SUPPLEMENTAL AGREEMENTS <br />1. Any modifications or additions to the final approved plans and/or <br />specifications shall be made part of the construction contract by change <br />order or by supplemental agreement but only after concurrence by the <br />City of Roseville, and shall be paid for as set forth in Section E. of this <br />Agreement. <br /> <br />2. Through a duly adopted City Council resolution, the City of Roseville may <br />request changes to the final approved plans, and/or specifications. Any <br />City of Roseville utility or facility which is subsequently modified or added <br />to the final approved plans and specifications shall be made by a written <br />amendment to this Agreement, shall be made part of the construction <br />contract by change order or supplemental agreement, and shall be paid <br />for wholly by the City of Roseville. <br /> <br />H. MAINTENANCE/OWNERSHIP <br />1. The City of Roseville shall own and maintain all existing reconstructed <br />microsurfaced roadways within the City of Roseville. <br /> <br />I. LIQUIDATED DAMAGES <br />1. Any liquidated damage assessed the contractor in connection with the <br />work performed on the project shall be shared by the City of Roseville <br />and Washington County in the following proportion: The respective total <br /> <br />Page 3 <br />
