1. Representation, and warranties. <br />a Owner represents that 1 it has the full right, power, and authority to execute this Lease; it has good <br />and unencumbered title to the Property free and clear on any liens or mortgages; 3 Lessee shall have <br />sole, actual, quiet and peaceful use and enjoyment of the Premises during the term of this Lease in <br />accordance with its terms without hindrance or ejection by any persons lawfully claiming under Owner. <br />b Owner represents that Owner has no knowledge of any substance, chemical or waste on the Owner's <br />Property that is identified as hazardous, toxic, or dangerous in any applicable federal, stag or local la <br />or regulation and the Property has never been subject to any contamination or hazardous conditions <br />resulting in any enviromnental investigation, inquiry or remedi.ation. Owner and Lessee agree that each <br />will, be responsible for compliance with any and all applicable governmental laws, rules, statutes, <br />regulations, codes, ordinances, or principles of common law regulating or imposing standards of <br />liability or standards of conduct with regard to protection of the environment or worker health and <br />safety, as may now or at any time hereafter be in effect, to the extent such apply to that party's activity <br />conducted in or on the Property. To the extent permitted by applicable law, Owner agrees to hold <br />Lessee harmless from and indemnify Lessee against any release caused by owner of any such <br />hazardous substance and any damage, loss or expense or liability resulting from the breach of this <br />representation or from Owner's violation of any state or federal law by such release including all <br />reasonable attorneys' fees, costs and penalties incurred as a result thereof, except any release caused by <br />the negligence of Lessee, its employees, contactors or agents, other than such materials used in the <br />ordinary course of Owner's business in accordance with all applicable laws and regulations. <br />c Lessee represents and warrants that its use of the Premises, herein, will not generate and it will not <br />store or dispose on the Property nor transport to or over the Property any hazardous substance and <br />uxth r agrees to hold Owner harmless from and indemnify Owner against any release caused by <br />Lessee of any such hazardous substance and any damage, loss or expense or liability resulting from the <br />breach of this representation or from Lessee's violation of any state or federal law by such release <br />including all reasonable attorneys' fees, costs and penalties incurred as result thereof, except any <br />release caused by the negligence of owner, its employees, contactors or agents, other than such <br />materials used in the ordinary course of Lessee's business in accordance with all applicable laws and <br />regulations. "Hazardous substance' shall be interpreted broadly to mean any substance or material <br />defined or designated as hazardous or toxic waste, hazardous or toxic materials, hazardous or toxic or <br />radioactive substance, or other similar term by any federal, state or local environmental law, regulation <br />or rule presently in effect or promulgated in the future, as such laws, regulations or rules may be <br />amended from time to tinge. <br />d The indemnifications of this Section 18 specifically include reasonable costs, expenses and fees <br />incurred in connection with any investigation of Property conditions or any clean -up, rernediation, <br />removal or restoration work required by any governmental authority. The provisions of this Section 18 <br />will survive the expiration or termination of this Lease. <br />e In the event Lessee becomes aware of any hazardous materials on the Property, or any environmental, <br />health or safety condition or matter relating to the Property, that., in Lessee's sole determination, <br />renders the condition of the Premises or Property unsuitable for Lessee's use, or if Lessee believes that <br />the leasing or continued leasing of the Premises would expose Lessee to undue risks of liability to a <br />government agency or third party, Lessee will have the right, in addition to any other rights it may have <br />at law or in equity, to terminate this Lease upon written notice to owner. <br />19. No Liability on Owner. Owner shall not be liable for damages to Lessee's equipment or Antenna Facilities, and <br />Owner shall not be liable for vandalism or malicious mischief caused by third parties, known or unknown, except to <br />the extent attributable to the negligent or intentional act or omission of Owner, its employees, agents or independent <br />contractors. <br />2. Assignment. <br />a Lessee may not assign or sublet this Lease without the prior written consent of Owner, which consent <br />shall not be unreasonably withheld, conditioned or delayed.
