direction, and determining technology initiatives and investments in accordance <br />with JLEC and Roseville strategic business goals. <br />13.2 Each party is invited to participate in the other party's strategic planning process. <br />SECTION 14—CONFIDENTIALITY AND DATA PRACTICES <br />141 - Through the review and assessment of the County's Systems, the Contractor may <br />be exposed to County data and/or data on individuals or organization which are <br />confidential in nature. In addition, the Contractor may be exposed to confidential <br />infarmation relating to the County's computers, netwark, and programs. Hereinafter, <br />this data and information is collectively referred to as "County Information." In <br />recognition of the need to protect the County Information, the Contractor covenants and <br />agrees that it shall regard and treat each item of County Information as a trade secret <br />and/or confidential information and that it will not, without the express written consent <br />of the County or except as required by law, redistribute, market, publish, disclose or <br />divulge to any other person, firm, or entity, or use or modify for use, directly or <br />indirectly, in any way, for any person or entity, any of the County Information. <br />Accordingly, all employees of the contractor that shall have access to County <br />Information shall be required to execute the Counry's Technology Usage Agreement as <br />set forth in Exhibit B. At the termination of this Agreement, the successful proposer <br />shall return to the County all County Information. Unauthorized use of the County's <br />data may be a criminal offense and violators will be prosecuted. <br />14.2 - Minnesota Government Data Practices Act. All data created, collected, received, <br />stored, used, maintained, or disseminated by the Contractor in performing this Contract is <br />subject to the provisions of Minn. Stat. Ch. 13 et. seq. (the Minnesota Government Data <br />Practices Act) and, pursuant to that statute, the Contractor must comply with the <br />requirements of that statute as if it were a government entity. All remedies set forth in <br />Minn. Stat. § 13.08 shall also apply to the Contractor. The Contractor is not required to <br />provide public data to the public if that same data is available from the COUNTY, unless <br />stated otherwise in this Contract. <br />SECTION 1�ENTIRE AGREEMENT <br />It is understood and agreed by the parties that the entire agreements of the parties is <br />contained herein and that this Agreement supersedes all oral agreements and negotiations <br />between the parties relating to the subject matter hereof as well as any previous agreements <br />presently in effect between the County and Contractor relating to the subject matter hereof. <br />The parties hereto revoke any prior oral or written agreement between themselves and <br />hereby agree that this Agreement is the only and complete agreement regarding the subject <br />hereof. <br />
