<br />(e) Anything contained herein or in the Articles of <br />Incorporation or Bylaws of the Association to the contrary <br />notwithstanding. no Owner or any other party shall have priority <br />over the rights of the first mortgagee of a Lot pursuant to its <br />mortgage, in case of a distribution to Owners of insurance proceeds <br />or condemnation awards for losses to or taking of any Lot. any <br />improvement thereon. or any part thereof. <br /> <br />(f) Any first mortgagee shall, upon request. be entitled to <br />written notice of all meetings of the Association, to designate a <br />representative to attend such meetings, and to written notice of the <br />abandonment or termination of the plan of this Declaration, any <br />material amendment to this Declaration, the Articles or Bylaws of <br />the Association. or of the effectuation of any decision by the <br />Association to terminate professional management and assume <br />self-management of the Property. Any decision to terminate <br />professional management and assume self management of the Property <br />shall, to be effective. be approved in writing by members who are <br />entitled to cast 2/3rds of the votes in the Association. <br /> <br />(g) Unless approved by 51% of the first mortgagees (based on <br />one vote for each mortgage owned): (i) any repair or restoration of <br />the Property after partial condemnation or damage due to an <br />insurable hazard. shall be performed substantially in accordance <br />with the provisions of this Declaration and the plans and <br />specifications of the improvements on the property as originally <br />constructed; and (ii) the legal status of the Property shall not be <br />terminated after substantial destruction or a substantial taking in <br />condemnation of the Property. <br /> <br />(h) Except as provided to the contrary in subparagraph (g) <br />above. the legal status of the Property shall not be terminated <br />except with the written consent of members who are entitled to cast <br />two-thirds (2/3) of the votes in the Association and of the holders <br />of two-thirds (2/3) of all first mortgages of record with respect to <br />Lots (based on one vote for each mortgage owned). <br /> <br />ARTICLE XI <br /> <br />OPTION TO ADD PROPERTY <br /> <br />Section 1. Option. Declarant shall have the option ("Option") <br />without the consent or joinder of the Owners. the Association. any holder <br />of an interest as security for an, obligation or any other person or <br />entity. to add to the Property all or a portion of the land (hereinafter <br />referred to as the "Additional Real Estate") described in Exhibit D <br />attached hereto and located in the City of Roseville.
