Roseville School District Property

15 October 1993

Page 3

inequities of greater-per-acre values for townhouse land, park dedication, etc. Although the details
will need to be fully discussed, the idea would be that each of you would benefit equally from the
total land sale, based upon the percentage of developable acreage that you own. Recognizing that
the details will need to be fully discussed, does this basic approach sound acceptable to you?

I want to convey to you that the School Board feels committed to realizing the maximum profit from
the disposition of this property, within acceptable community planning and environmental
parameters. They like Concept B and they are prepared to proceed with its approval. They also
recognize that there is nothing sacred about this concept and that an acceptable plan could be
developed which places the townhomes on the School District property and single-family lots on the
Grauel and Roberts properties, as shown on the Comprehensive Plan. The Board aJso recognizes
that they have paid for all of the planning and design expenses to date and will assume the lion's
share of the expenses in selecting a developer.

In summary, we are rapidly approaching the point at which you will nee.d to decide if you are
interested in joining your property to this development packuge. If you are interested, we will
proceed with the preparation of the necessary agreements. These agreements will provide for the
sharing of sales proceeds equally among the parties, based on the respective proportionate share of
the total developable acreage.

If an arrangement like I have described above can be achieved, the Board has directed me to
proceed with the application for PUD approval. If not, I will report back to the Board and they
have indicated that they will give serious consideration to revising the concept plan to reflect more
closely the land use pattern shown on the Comprehensive Plan.

Please contact me at your earliest convenience to discuss your thoughts on these issues.

S incerel y ,

DAHLGREN, SHARDLOW, AND UBAN, INC.

t~
