<br />OPTION AGREEMENT <br /> <br /> <br />The effective date of this option agreement ("Option") is April t; , 1997, and is by and <br /> <br /> <br />between Southwind ofRoseville, L.L.C., a Minnesota limited liability company, ("Buyer"); and the <br /> <br /> <br />City of Roseville ("Seller"). <br /> <br />For and in consideration of a $1,000.00 option fee, the receipt of which is hereby <br /> <br /> <br />acknowledged by Seller, Seller hereby grants to Buyer the exclusive right and privilege until August <br /> <br /> <br />1, 1997 to purchase Seller's property legally described on the attached exhibit "A" ("Property") for <br /> <br /> <br />One Hundred Nine Thousand Dollars ($109,000.00) less all option fees Buyer has paid to Seller <br /> <br /> <br />under this Option. Buyer may extend this Option to purchase Seller's Property to November 30, <br /> <br /> <br />1997 by paying Seller an additional option fee of$5,000.00 before July 30, 1997. <br /> <br /> <br />Exercising Options. Buyer may exercise it's Option to purchase the Property by <br /> <br /> <br />completing and signing a purchase agreement in the form of exhibit "B" ("Purchase Agreement") <br /> <br />and delivering it to Seller. Seller shall promptly sign the Purchase Agreement and return one <br /> <br /> <br />fully executed copy to Buyer. <br /> <br />Approved Preliminary Plat. The Seller has approved the preliminary plat ofthe Buyer <br /> <br />which approved preliminary plat encompasses the Property and other lands described in exhibit <br /> <br />"c" ("Zeece Land") and the preliminary plat shall become a part of this Option. <br /> <br />Final Plat. Buyer and Seller agree to execute all documents necessary to record a final <br /> <br />plat of the Property in accordance with the preliminary plat already approved by Seller. The <br /> <br />Buyer agrees to pay all ofthe costs in connection with platting the Property and preparing the <br /> <br />final plat or any revisions thereto. The Seller shall have no responsibility for preparing the final <br /> <br />1 <br />
